【摘要】：我國(guó)政策性文件、立法文本長(zhǎng)期以來(lái)堅(jiān)持以法人化管制來(lái)定位和處理非營(yíng)利組織之民事主體資格問題,非法人非營(yíng)利組織一般在禁止之列,未經(jīng)登記的非營(yíng)利組織更屬明令取締對(duì)象。此種傳統(tǒng)的法人化私法主體定位和慣性的簡(jiǎn)單化行政管制思路,不僅在理論、邏輯上難以成立,更因其認(rèn)定標(biāo)準(zhǔn)的簡(jiǎn)單化、管理思維的粗放性、問題解決的不徹底性,而不利于國(guó)家、社會(huì)、他人合法權(quán)益的維護(hù)和救濟(jì)�；诖�,從更具體的私法層面,褪去非營(yíng)利組織不應(yīng)負(fù)載的太多政治色彩和公法功能,把非營(yíng)利組織是否登記為法人交由設(shè)立人、申請(qǐng)人自主選擇而非立法硬性規(guī)制,使非營(yíng)利組織的私法主體地位得以正本清源。如此,非營(yíng)利組織在符合法律法規(guī)規(guī)范的情況下,其社會(huì)功能、組織張性和自治活力才能得到適度發(fā)揮。
[Abstract]:In our country's policy documents, the legislative texts have long insisted on the legalization control to locate and deal with the qualification of the civil subjects of the non-profit organizations, and the non-legal persons and the non-profit organizations are generally prohibited. This kind of traditional legal and personal law subject orientation and inertia of simple administrative control thinking, not only in theory and logic difficult to establish, but also because of the simplification of its standards. The extensive nature of management thinking and the incomplete nature of problem solving are not conducive to the protection and relief of the legitimate rights and interests of the state, society and others. Based on this, from a more specific level of private law, Taking away too much political color and public law function that non-profit organization should not carry, whether the non-profit organization should be registered as legal person is handed over to the settler, and the applicant chooses on his own rather than legislating hard regulation. In this way, in accordance with the laws and regulations, the social function, organizational openness and autonomy of non-profit organizations can be properly brought into play.
