【摘要】：最高人民法院頒布的《關于審理買賣合同糾紛案件適用法律問題的解釋》第2條明確了預約作為一種獨立合同的合法性,使得這一塵封多年的合同類型得以回歸大眾的視野,也由此引發(fā)了國內理論和實務界的廣泛討論。本文將結合國內外理論學說和最新的司法案例,旨在論證預約的效力應尊重當事人的意思、及預約的違約責任。引言、預約的司法實踐現(xiàn)狀是文章的第一部分,意在提出問題和展開問題,點明預約在司法實踐中適用的情況和爭議。這一部分通過對五個典型案例的梳理,簡要地介紹司法實踐中對預約的認定和適用,說明我國法院對預約的裁判非常不統(tǒng)一,甚至將預約直接認定為本約。然后,在"預約效力的探究"一章中,從實踐回歸理論,圍繞預約的效力展開分析,介紹和評析目前學界對于預約效力的觀點,即必須磋商說、應當締約說和內容決定說,并提出本文的觀點——意思解釋說;接下來,探討預約的義務,以為違反預約義務之后果,即違約責任作鋪墊。文章的第三部分是"預約的違約責任"一章,共有三小節(jié),依次分析繼續(xù)履行、損害賠償和定金、違約金的適用,并得出相應的結論。本文的觀點是,判斷預約的效力,應解釋當事人的真實意思,以區(qū)分適用應當締約說或必須磋商說;關于繼續(xù)履行,只有具備必要條款、同時效力是應當締約說的預約可支持強制締約;而損害賠償方面,只有具備必要條款,同時效力是應當締約的預約可支持本約的履行利益,惟應將客觀發(fā)生的情勢變更納入考量,其他類型的預約則應考量違約發(fā)生時,當事人所處的具體締約階段,綜合確定損害賠償額;定金的數(shù)額不應超過本約標的額的20%。
[Abstract]:Article 2 of the interpretation of the Law applicable to hearing cases of Sale and purchase contract disputes promulgated by the Supreme people's Court clarifies the legality of appointment as an independent contract, enabling this dust-laden type of contract to return to the public's vision. This article will combine the domestic and foreign theories and theories and the latest judicial cases to prove that the validity of the reservation should respect the meaning of the parties and the liability of breach of contract. The present situation of judicial practice of appointment is the first part of the article, which is intended to raise questions and unfold questions, and point out the situations and disputes applicable to appointment in judicial practice. In this part, five typical cases are combed. This paper briefly introduces the cognizance and application of the reservation in judicial practice, and explains that the court in our country is very inconsistent in the judgment of the reservation, and even regards the appointment directly as the book. Then, in the chapter of "the Inquiry into the validity of the appointment", the author returns the theory from the practice. Based on the analysis of the validity of the reservation, this paper introduces and evaluates the current views of the academic community on the validity of the reservation, that is, the theory of consultation, the theory of contracting and the decision of the content, and puts forward the viewpoint of this paper-meaning explanation; next, the obligation of the reservation is discussed. The third part of the article is the chapter of "liability for breach of contract", which consists of three sections: continuing performance, damages and down payment, and the application of liquidated damages, the third part of the article is to lay the groundwork for the consequences of breach of appointment obligations, that is, the liability for breach of contract. It is the opinion of this article that the validity of the appointment should be judged by explaining the true meaning of the parties, so as to distinguish between the parties, that is, the contracting party should be said or must be consulted, and that only the necessary provisions should be provided for the continuation of performance. The simultaneous effect is that the reservation which should be concluded may support the compulsory contracting; in the case of compensation for damages, only the necessary provisions are available, and the effect is that the reservation which should be concluded may support the interests of the performance of this treaty, However, the objective change of circumstances should be taken into account, and the other types of appointment should take into account the specific contracting stage in which the parties were in, and the amount of the down payment should not exceed 20% of the amount of the contract.
