【摘要】：在現(xiàn)代社會,商會承擔(dān)著越來越重要的地位和職能。雖然早有學(xué)者討論過商會脫離政府的控制,作為一個(gè)獨(dú)立的法人進(jìn)行自治,也有地方政府對此進(jìn)行嘗試,但商會與政府的脫鉤并未被正式地規(guī)定在法律法規(guī)中。2013年3月14日批準(zhǔn)通過的《第十二屆全國人民代表大會第一次會議關(guān)于國務(wù)院機(jī)構(gòu)改革和職能轉(zhuǎn)變方案的決定(草案)》對商會與政府的脫鉤進(jìn)行了明確的規(guī)定,并要求2015年基本完成商會的脫鉤。這無疑為商會的發(fā)展帶來有利的外界環(huán)境,但要使商會不負(fù)政府所托,充分履行其職能行使其權(quán)力,還需要提高商會自身的履職能力。上述情況對完善我國商會治理結(jié)構(gòu)提出了新的要求。本文正文主體分為三章:第一章中,對比商會和公司,對商會進(jìn)行法人治理的理論依據(jù)和現(xiàn)實(shí)依據(jù)進(jìn)行研究。第二章結(jié)合當(dāng)前我國商會的實(shí)際情況,分析其現(xiàn)行治理結(jié)構(gòu)及其存在的問題。包括兩大部分,第一部分主要講我國商會治理結(jié)構(gòu)的組成以及與該結(jié)構(gòu)相配套的治理機(jī)制,第二部分闡述了目前社會、法律、經(jīng)濟(jì)、文化背景下商會治理存在的問題及其原因。第三章是本文的重點(diǎn)章節(jié),表述了對完善商會法人治理結(jié)構(gòu)的幾點(diǎn)思考和建議。包括商會內(nèi)部組織機(jī)構(gòu)、治理機(jī)制設(shè)置的完善,以及用商會專門法規(guī)制商會治理的構(gòu)想,包括商會立法模式的選擇以及商會立法應(yīng)當(dāng)明確規(guī)定的事項(xiàng)兩個(gè)方面,以期從完善商會法人治理結(jié)構(gòu)的動(dòng)靜態(tài)形式和外部發(fā)展條件,使商會能在新的歷史環(huán)境中壯大起來,具備在新形勢下更好地實(shí)現(xiàn)服務(wù)市場經(jīng)濟(jì)的能力。
[Abstract]:In modern society, chambers of commerce have assumed more and more important status and functions. Although scholars have long discussed whether chambers of commerce are independent of the control of the government and have autonomy as an independent legal person, some local governments have tried to do so. However, the decoupling of the Chamber of Commerce from the Government was not formally stipulated in the laws and regulations. The first session of the 12th National people's Congress, approved on March 14th 2013, decided on the plan for institutional reform and functional transformation of the State Council. The agreement (draft) > provides for the decoupling of the Chamber of Commerce from the government. And calling for the basic completion of the decoupling of the Chamber of Commerce in 2015. This will undoubtedly bring about a favourable external environment for the development of the Chamber of Commerce, but in order to make the Chamber of Commerce live up to the trust of the Government and fully discharge its functions and exercise its powers, It is also necessary to improve the ability of the Chamber of Commerce to carry out its duties. The above situation puts forward new requirements for perfecting the governance structure of the Chamber of Commerce in our country. The main body of this paper is divided into three chapters: chapter one, comparing the Chamber of Commerce with the Company, The second chapter analyzes the current governance structure of the Chamber of Commerce and its existing problems, including two parts. The first part mainly talks about the composition of the governing structure of Chinese Chamber of Commerce and the corresponding governance mechanism. The second part expounds the current society, law and economy. The third chapter is the key chapter of this paper, which describes some thoughts and suggestions on the perfection of the corporate governance structure of the Chamber of Commerce, including the improvement of the internal organization of the Chamber of Commerce and the establishment of the governance mechanism. As well as the conception of governing the chamber of commerce with special regulations, including the choice of the legislative model of the chamber of commerce and the matters that should be clearly stipulated in the legislation of the chamber of commerce, in order to perfect the dynamic and dynamic forms and external development conditions of the corporate governance structure of the chamber of commerce. So that the Chamber of Commerce can grow in the new historical environment and have the ability to better serve the market economy under the new situation.
