【摘要】：VIE英文全稱為Variable Interests Entity,中文直譯為可變利益實體。VIE模式是境內(nèi)企業(yè)面對境內(nèi)上市融資困境以及境外上市融資的政策壁壘,為境外上市融資,通過一系列協(xié)議控制,以VIE為工具實現(xiàn)實體利益轉(zhuǎn)移,進(jìn)而達(dá)到上市融資及資格的法律結(jié)構(gòu)安排,也稱為協(xié)議控制模式。VIE模式下,系列協(xié)議包括:資產(chǎn)運營控制協(xié)議、借款合同、股權(quán)質(zhì)押協(xié)議、獨家期權(quán)協(xié)議、投票權(quán)協(xié)議、投票權(quán)協(xié)議等。VIE模式的設(shè)立可以有效的規(guī)避國內(nèi)對境內(nèi)公司境外上市復(fù)雜的審批和監(jiān)管,這為企業(yè)的發(fā)展提供了資金需求,也解決了國內(nèi)一些企業(yè)因無法在境內(nèi)融資而發(fā)展受限的問題,因此,在我國“蓬勃生機”,從單純的互聯(lián)網(wǎng)企業(yè),即輕資產(chǎn)、初期不盈利的企業(yè)到后期包括重資產(chǎn)在內(nèi)的企業(yè),適用范圍漸漸擴大到各個領(lǐng)域。VIE迅速發(fā)展對于國家監(jiān)管提出了要求。VIE模式企業(yè)在本質(zhì)上規(guī)避了現(xiàn)有法律的監(jiān)管,本文針對我國VIE模式法律監(jiān)管進(jìn)行了梳理,自2000年4月VIE模式出現(xiàn)至今,先后出臺了 17件相關(guān)的法律及規(guī)范性文件,涵蓋了外匯監(jiān)管、國家安全監(jiān)管、稅務(wù)監(jiān)管、政策方面等監(jiān)管類的法律制度安排,另2015年1月的《中華人民共和國外國投資法(草案征詢意見稿)》意味著我國的外國投資法律即將迎來新的歷史契機。VIE模式的國家監(jiān)管很重要的一個部分是通過對于系列協(xié)議的法律效力審查實現(xiàn)的,及審查是基于我國《合同法》第52條合同無效情節(jié)而展開的。從司法案例中可以看出,VIE系列協(xié)議的法律效力認(rèn)定就是對于VIE協(xié)議是否違反“以合法形式掩蓋非法目的”、“違法國家行政法規(guī)的強制性規(guī)定”和“損害社會公共利益”,分析認(rèn)為VIE協(xié)議“以合法形式掩蓋非法目的”的觀點過分牽強,“違反國家行政法規(guī)的強制性規(guī)定”又存在現(xiàn)有規(guī)定強制效力不足,“損害社會公共利益”過分模糊,仍需法律進(jìn)一步明確。認(rèn)定VIE協(xié)議無效還會對企業(yè)、股東及境外投資人等造成較大的影響,同時會成為社會的風(fēng)向標(biāo),進(jìn)而影響社會公共利益,因此,應(yīng)當(dāng)謹(jǐn)慎而為。基于VIE模式的具體問題和現(xiàn)存監(jiān)管現(xiàn)狀的分析,以VIE為契機反思我國現(xiàn)有制度的不足,完善投資環(huán)境,整合監(jiān)管法律法規(guī),探求VIE模式企業(yè)的出路,不論悲觀論還是樂觀論,都應(yīng)當(dāng)理性視之,以我國基本國情為基礎(chǔ),穩(wěn)步推進(jìn)VIE模式發(fā)展,更好的保障國內(nèi)資本和外國投資的應(yīng)有權(quán)益。
[Abstract]:VIE is called Variable Interests entity. Vie model is the policy barrier for domestic enterprises to face domestic listing financing difficulties and overseas listing financing, financing for overseas listing, through a series of agreements control. Under the mode of agreement control, the series of agreements include: asset operation control agreement, loan contract, equity pledge agreement. The establishment of exclusive option agreements, voting rights agreements, voting rights agreements, and so on can effectively circumvent the complicated examination and approval and supervision of domestic and foreign listing of domestic companies, which provides a capital demand for the development of enterprises. It has also solved the problem that some domestic enterprises are limited in their development due to their inability to raise funds in China. As a result, in our country, "vigorous vitality" ranges from simple Internet enterprises, that is, those with light assets to those that are not profitable at the beginning to those that are heavy on assets in the later period. The scope of application has gradually expanded to various fields. The rapid development of .vie has put forward requirements for the national supervision. The enterprises of the model of .vie have essentially circumvented the existing legal supervision. This paper has combed the legal supervision of VIE mode in our country. Since the emergence of VIE model in April 2000, 17 related legal and normative documents have been issued, covering the legal system arrangement of foreign exchange supervision, national security supervision, tax supervision, policy supervision and so on. On January 2015, the Foreign Investment Law of the people's Republic of China (draft for comments) means that China's foreign investment law is about to usher in a new historical opportunity. A very important part of the state regulation of the vie model is the adoption of. Upon examination of the legal effect of a series of agreements, The review is based on the void circumstances of Article 52 of the contract Law of China. From the judicial cases, it can be seen that the legal effect of the vie series of agreements is to determine whether the VIE agreement is violated or not "to cover up illegality in a lawful form." "purpose", "the mandatory provisions of illegal state administrative regulations" and "harming the public interest", analysis of the view that the VIE agreement "to cover up the illegal purpose in the legal form" is excessive and far-fetched, "in violation of the mandatory regulations of the state administrative regulations" There is also a lack of enforcement effect of the existing provisions, and "harm to the public interest" is too vague, It still needs further clarification of the law. Determining that the VIE agreement is invalid will also have a greater impact on enterprises, shareholders and foreign investors, and will also become the vane of society and thus affect the public interest of the society. Therefore, Based on the analysis of the specific problems of VIE mode and the present situation of supervision, we should take VIE as an opportunity to reflect on the shortcomings of our country's existing system, perfect the investment environment, integrate the laws and regulations of supervision, and explore the outlet of the enterprises of VIE mode. Both pessimism and optimism should be regarded rationally, based on the basic conditions of our country, the development of VIE mode should be promoted steadily, and the rights and interests of domestic capital and foreign investment should be better protected.
