競業(yè)禁止與擇業(yè)自由的法律平衡機(jī)制研究

【摘要】:在國際經(jīng)濟(jì)一體化、高新技術(shù)產(chǎn)業(yè)迅猛發(fā)展的背景下,基于勞動(dòng)法調(diào)整的以商業(yè)秘密的法律保護(hù)問題為核心產(chǎn)生了競業(yè)禁止制度,該制度的產(chǎn)生為企業(yè)的商業(yè)秘密的保護(hù)提供了一種事前預(yù)防的法律機(jī)制。然而,該制度所隱含的價(jià)值沖突即商業(yè)秘密保護(hù)與勞動(dòng)者擇業(yè)自由以及社會(huì)公共利益之間平衡問題也相伴而生。 近年來,關(guān)于競業(yè)禁止法律問題的理論研究成果比較豐富,但囿于國內(nèi)競業(yè)禁止立法體制的固有局限令競業(yè)禁止的司法實(shí)踐操作困難重重。在眾多的爭議點(diǎn)當(dāng)中,以競業(yè)禁止與擇業(yè)自由的利益平衡問題最為突出。在該制度中如何達(dá)到憲法賦予的勞動(dòng)權(quán)和擇業(yè)權(quán)、企業(yè)商業(yè)利益以及社會(huì)公共利益三者之間的平衡,如何保護(hù)商業(yè)秘密權(quán)得以保障的同時(shí)避免造成對(duì)勞動(dòng)者的擇業(yè)自由權(quán)利的過度限制,如何掌握好個(gè)中平衡是理論界應(yīng)該著眼重點(diǎn)研究的問題。 本文除引言與結(jié)論外,分四個(gè)部分對(duì)競業(yè)禁止與擇業(yè)自由的法律平衡機(jī)制進(jìn)行闡述: 第一部分:競業(yè)禁止制度的產(chǎn)生及其制度價(jià)值。根據(jù)競業(yè)禁止制度從一般到特殊的發(fā)展歷程,指出在勞動(dòng)法的視域下調(diào)整一般雇員與雇主之間的禁止競業(yè)義務(wù)是本文著重研究的對(duì)象,進(jìn)而論述了競業(yè)禁止在商業(yè)秘密的保護(hù)、公平競爭秩序的維護(hù)以及契約精神的守護(hù)等方面的制度意義。 第二部分:競業(yè)禁止與擇業(yè)自由的法律沖突。該部分是本文理論分析的重點(diǎn)。從擇業(yè)自由權(quán)利的特殊性、競業(yè)禁止對(duì)擇業(yè)自由權(quán)利的限制以及競業(yè)禁止對(duì)擇業(yè)自由權(quán)利的有限補(bǔ)償三個(gè)方面對(duì)競業(yè)禁止與擇業(yè)自由存在法律沖突的原因及其表現(xiàn)形式進(jìn)行了比較深入的探討。 第三部分:競業(yè)禁止與擇業(yè)自由利益平衡的立法原則。在對(duì)競業(yè)禁止與擇業(yè)自由法律利益平衡的深入分析基礎(chǔ)之上,該部分意欲總結(jié)出實(shí)現(xiàn)利益平衡應(yīng)遵循的立法原則和基本立場,并以此指導(dǎo)司法實(shí)踐對(duì)兩種特殊權(quán)利進(jìn)行合理的處置,以使這種沖突能夠得到緩和和協(xié)調(diào)。 第四部分:實(shí)現(xiàn)競業(yè)禁止與擇業(yè)自由利益平衡的制度措施。本部分在前文所述的立法原則的指導(dǎo)下,從微觀具體的角度試從競業(yè)禁止協(xié)議的基本形式、內(nèi)容、有效條件以及解除等方面模擬出競業(yè)禁止制度的建議性法律條文。
[Abstract]:Under the background of international economic integration and the rapid development of high-tech industry, the non-competition system has emerged based on the adjustment of labor law, which takes the legal protection of trade secrets as the core. The emergence of this system provides a legal mechanism for the protection of business secrets. However, the value conflict implied by this system, that is, the balance between the protection of trade secrets, the freedom of workers to choose their jobs and the social public interests, also arises. In recent years, the theoretical research on the legal issue of non-competition is relatively rich, but the inherent limitations of the domestic non-compete legislation system make the judicial practice of non-competition difficult. Among the many controversial points, the interests balance between the prohibition of competition and freedom of choice of employment is the most prominent. In this system, how to achieve the balance between the right to work and the right to choose a job, the business interests of enterprises and the social public interests, which are given by the Constitution, How to protect the right to trade secrets while avoiding excessive restrictions on workers' right to choose a job, and how to master the balance among individuals is a problem that the theoretical circle should focus on. In addition to the introduction and conclusion, this paper expounds the legal balance mechanism between the prohibition of competition and freedom of choice of employment in four parts: The first part: the emergence and the system value of the non-compete system. According to the development of non-compete system from general to special, it is pointed out that adjusting the obligation between general employee and employer in the view of labor law is the object of this paper, and then discusses the protection of non-compete trade secrets. The system significance of the maintenance of fair competition order and the protection of contract spirit. The second part: the conflict of laws between the prohibition of competition and freedom of choice of employment. This part is the focus of the theoretical analysis of this paper. Considering the particularity of the right to freedom of choice of employment, This paper probes into the reasons and manifestations of the conflict of laws between the prohibition of competition and the freedom to choose a profession from three aspects: the restriction of the right to freedom of choice of employment and the limited compensation of the right to freedom of choice of employment from the prohibition of competition for a career and the limited compensation of the right to freedom of choice of occupation. The third part: the legislative principle of balancing the interests of non-competition and free choice of employment. Based on the deep analysis of the balance of legal interests between the prohibition of competition and the freedom to choose a career, this part intends to sum up the legislative principles and basic positions that should be followed to achieve the balance of interests. And guide the judicial practice to deal with the two special rights reasonably, so that the conflict can be alleviated and coordinated. The fourth part: the system measures to realize the balance between the prohibition of competition and the free interests of choice of employment. Under the guidance of the legislative principles mentioned above, this part attempts to simulate the proposed legal provisions of the non-compete system from the aspects of the basic form, content, effective conditions and dissolution of the non-compete agreement from the microscopic and specific point of view.
