【摘要】：我國證券發(fā)行市場存在著效率低下、高發(fā)行價(jià)、高市盈率、高超募資金、權(quán)力尋租等問題,這些問題的核心在于其市場化程度有待進(jìn)一步提高。而市場化的發(fā)展要求證券發(fā)行市場各主體的歸位,尤其是保薦人角色的轉(zhuǎn)變,需要其真正擔(dān)當(dāng)起擬發(fā)行上市人的監(jiān)督人、證券監(jiān)督管理機(jī)構(gòu)的輔助人、投資者的教育人的角色,全面履行輔導(dǎo)推薦職責(zé)、監(jiān)督審核職責(zé)和擔(dān)保職責(zé)。保薦人角色的轉(zhuǎn)變需要配套制度的保障,并要求保薦人承擔(dān)起更重要的責(zé)任。
[Abstract]:There are some problems in China's securities market, such as low efficiency, high issue price, high price-earnings ratio, excellent capital raising and power rent-seeking, etc. The core of these problems lies in the need to further improve the degree of marketization. The development of marketization requires the return of all the main bodies in the securities issuing market, especially the change of the role of sponsors, and the role of the supervisor, the assistant of the securities regulatory body and the educator of the investor, as well as the role of the sponsor, the supervisor of the intended issuer, the assistant of the securities regulatory body, and the educator of the investor. Fully fulfill the responsibilities of guidance and recommendation, supervision, audit and guarantee duties. The change of sponsor's role needs the guarantee of supporting system and requires sponsor to assume more important responsibility.
