【摘要】：開(kāi)放救濟(jì)是企業(yè)合并反壟斷救濟(jì)措施的一種,是核心設(shè)施理論在企業(yè)合并反壟斷控制制度中的體現(xiàn)。電信業(yè)由于其高投入、網(wǎng)絡(luò)化、規(guī)模經(jīng)濟(jì)的特點(diǎn),更易在相關(guān)市場(chǎng)中形成"核心設(shè)施",采用開(kāi)放救濟(jì)可以有效消除市場(chǎng)進(jìn)入的壁壘,保障合并后相關(guān)市場(chǎng)的有效競(jìng)爭(zhēng)。有效性是電信業(yè)并購(gòu)反壟斷控制中適用開(kāi)放救濟(jì)的核心問(wèn)題,其取決于開(kāi)放救濟(jì)的對(duì)象、措施、監(jiān)督、范圍等因素。
[Abstract]:Open remedy is one of the antitrust relief measures for the merger of enterprises. It is the embodiment of the core facilities theory in the anti-monopoly control system of enterprise merger. Because of its characteristics of high investment, network and economies of scale, telecom industry is more likely to form "core facilities" in relevant markets. The adoption of open relief can effectively eliminate barriers to market entry and ensure effective competition in related markets after the merger. Effectiveness is the core problem of applying open relief in merger and acquisition control of telecommunication industry, which depends on the object, measures, supervision and scope of open remedy.
