【摘要】：多重表決權(quán)股和忠誠股份,是一個長久以來在歐洲及世界范圍內(nèi)飽受爭議的公司法特色現(xiàn)象,由于最近一眾美國高科技公司的密集應(yīng)用而重獲矚目。在意大利,它們進入公眾視線緣起于2014年菲亞特(FIAT)汽車公司的兼并和荷蘭母公司的重組。在法國,則長期盛行著企業(yè)愛國主義,之后又受到近期法律改革的進一步推動。本文旨在考察意大利的相關(guān)法律改革,為其制度測評提供基本的理論框架,搭建更深入研究的平臺。
[Abstract]:Multiple voting shares and loyal shares, a long-disputed corporate law phenomenon in Europe and around the world, have gained prominence due to the recent intensive use of high-tech companies in the United States. In Italy, they came into the limelight as a result of the 2014 merger of Fiat (FIAT) Motors and the restructuring of the Dutch parent company. In France, corporate patriotism has long prevailed and has been further boosted by recent legal reforms. The purpose of this paper is to investigate the relevant legal reforms in Italy, to provide a basic theoretical framework for the evaluation of its system, and to build a platform for further research.
