公司法修改背景下有限責任公司人力資本出資的法律問題研究

【摘要】:一個公司的設立,離不開股東出資,而股東出資和形式多種多樣。有限責任公司對外承擔的是以公司財產(chǎn)為限的有限責任,因此在出資方式上要求更嚴格。這次公司法的修改在出資方式上并未松動,表面上仍將人力資本出資拒之千里之外。然而,在這個知識經(jīng)濟的時代,法律制度是維持正常經(jīng)濟活動秩序的法律保障。人力資本發(fā)揮的重要作用已有目共睹,然而法律的規(guī)制的缺失一方面使企業(yè)損失了重要的發(fā)展動力,一方面使部分勞動者自身潛能無法得到充分發(fā)揮。人力資本出資雖然在實踐上存在一些問題,但現(xiàn)在的經(jīng)濟生活已然離不開這種出資方式。本文首先,介紹了姚某以人力資本出資的案例,并對案例焦點進行分析,從而引出本文所要探討的問題。其次,簡單闡述了資本的概念,介紹了人力資本的概念、特征、法律屬性以及和相關概念的辨析。再次,對人力資本出資的現(xiàn)行法律依據(jù)、可行性和必要性進行了論證。并分析了我國人力資本出資在理論和實踐中的面臨的困境,主要從人力資本出資是否符合當前資本制度的目標價值以及其評估、轉讓、交付和償還債務功能的缺陷等方面進行分析。最后,對人力資本出資構建了一個具體的制度體系,包括對人力資本的評估、人力資本出資股東股權的轉讓、及其出資不到位的責任承擔等法律制度建設。法律是各方利益的調節(jié)器,本文希望通過公司人力資本出資制度的構建使公司的設立更加便捷效率,同時實現(xiàn)公司運營過程中各方主體利益的平衡與保護,維護交易的安全。
[Abstract]:The establishment of a company can not be separated from shareholders' contribution, and the shareholders' contribution and forms are various. The limited liability company is limited by the company's property, so it is more strict in the way of capital contribution. The modification of the company law is not flexible in the way of investment, on the face of the human capital investment still thousands of miles away. However, in this era of knowledge economy, the legal system is the legal guarantee to maintain the order of normal economic activities. The important role of human capital has been obvious to all, but the lack of legal regulation on the one hand makes the enterprise lose an important power of development, on the other hand, part of the laborer's own potential can not be fully played. Although there are some problems in the practice of human capital investment, the present economic life has been inseparable from this way of investment. First of all, this paper introduces Yao's case of human capital investment, and analyzes the focus of the case, which leads to the problems to be discussed in this paper. Secondly, the concept of capital is briefly expounded, and the concept, characteristics, legal attributes and related concepts of human capital are introduced. Thirdly, the current legal basis, feasibility and necessity of human capital contribution are demonstrated. The paper also analyzes the dilemma of human capital investment in theory and practice, mainly from the point of view of whether human capital contribution conforms to the objective value of current capital system and its evaluation and transfer. The defects in the function of delivery and repayment of debts are analyzed. Finally, a specific system of human capital contribution is constructed, including the evaluation of human capital, the transfer of shareholders' equity, and the legal system construction. The law is the regulator of the interests of all parties. This paper hopes to make the establishment of the company more convenient and efficient through the construction of the investment system of human capital of the company, at the same time, to realize the balance and protection of the main interests of the parties in the course of the company operation, and to maintain the security of the transaction.
