【摘要】：當(dāng)代中國(guó)政府與市場(chǎng)關(guān)系中有若干重大問題亟待解決。通過將一般民商事特許制度進(jìn)行公法的調(diào)整,使行政主體亦能進(jìn)行民商事特許:作為受許人的國(guó)企或私企可使用"國(guó)企標(biāo)準(zhǔn)監(jiān)管企業(yè)"的名號(hào)、并具有與一般國(guó)企平等的市場(chǎng)地位。當(dāng)受許人為國(guó)企時(shí),在實(shí)施優(yōu)先股制度的同時(shí)通過實(shí)施民商事特許對(duì)國(guó)企進(jìn)行有限控制;當(dāng)受許人為私企時(shí),通過在特許合同中加入國(guó)企監(jiān)管標(biāo)準(zhǔn)等內(nèi)容通過合同對(duì)私企進(jìn)行有限控制。作為特許人的行政主體通過特許權(quán)使用費(fèi)的收取、優(yōu)先股分紅、某些經(jīng)濟(jì)政策目標(biāo)的達(dá)成等獲得收益。本制度貫通了行政營(yíng)利行為與行政私法行為,在推進(jìn)國(guó)企改革及應(yīng)對(duì)TPP國(guó)企條款的挑戰(zhàn)、合理拓展財(cái)政收入、達(dá)成政府某些經(jīng)濟(jì)政策目標(biāo)等方面有重要應(yīng)用價(jià)值。
[Abstract]:There are some important problems to be solved in the relationship between the Chinese government and the market. By adjusting the general civil and commercial concession system in public law, the administrative subject can also carry out civil and commercial concessions: State-owned enterprises or private enterprises, as licensees, can use the name "SOE Standard Supervision Enterprise". And with the general state-owned enterprises equal market position. When the licensee is a state-owned enterprise, it exercises limited control over the state-owned enterprise through the implementation of civil and commercial concessions while implementing the system of preferred stock; and when the licensee is a private enterprise, Limited control of private enterprises through the incorporation of SOE regulatory standards into concession contracts. As a franchisor, the administrative body gains income through royalties collection, preferred stock dividends, and the achievement of certain economic policy objectives. This system is of great application value in promoting the reform of state-owned enterprises and responding to the challenges of the provisions of TPP state-owned enterprises, rationally expanding fiscal revenue, and achieving some economic policy objectives of the government.
