國有企業(yè)高管薪酬法律規(guī)制研究

【摘要】:國有企業(yè)在我國占有著舉足輕重的地位,是國民經(jīng)濟(jì)的命脈之所在,其對(duì)于國民生產(chǎn)總值的增長以及人民生活水平的提高所作出的巨大貢獻(xiàn)是無可取代的。改革開放以來我國市場經(jīng)濟(jì)飛速發(fā)展,為了融入市場化的大潮,國有企業(yè)也進(jìn)行了一系列改革并不負(fù)眾望地取得了輝煌成就。但就在我們?nèi)f分欣喜的同時(shí),也不能忽視國有企業(yè)發(fā)展過程中存在的諸多不足。比如國企高管薪酬就是伴隨著市場化改革所衍生的一項(xiàng)熱點(diǎn)問題,近年來政府以及學(xué)術(shù)界對(duì)此眾說紛紜,卻由于歷史原因和我國國有企業(yè)自身的特殊性,使得要解決高管薪酬在實(shí)踐中的種種難題仍需面對(duì)許多挑戰(zhàn)。本文共計(jì)四部分。第一部分主要對(duì)所涉及的基本概念作一介紹,并對(duì)國企高管薪酬制度的歷史變遷進(jìn)行梳理,同時(shí)對(duì)高管薪酬法律規(guī)制相關(guān)理論逐一闡述,為文章研究理論奠基。第二部分分析概述了國有企業(yè)高管薪酬法律規(guī)制近況以及實(shí)踐中存在的問題。第三部分分別介紹了西方各國從立法、司法等方面對(duì)國企高管薪酬進(jìn)行的規(guī)制,在此基礎(chǔ)上探討法律的作用,并總結(jié)出對(duì)我國國企高管薪酬規(guī)制的可借鑒之處。第四部分在前文的基礎(chǔ)上,提出幾點(diǎn)完善我國國企高管薪酬法律規(guī)制的構(gòu)想,分別是完善國企公司治理結(jié)構(gòu);完善薪酬體系法律制度;完善信息披露制度;完善高管薪酬相關(guān)配套制度等,希望對(duì)法律規(guī)制國企高管薪酬有所裨益。本文在整個(gè)研究過程中主要采用了比較研究法、系統(tǒng)研究法等研究方法。首先,運(yùn)用理論知識(shí)對(duì)文章所涉及的法學(xué)問題進(jìn)行分析。其次,通過詳細(xì)列舉西方發(fā)達(dá)市場經(jīng)濟(jì)國家對(duì)于國企高管薪酬的法律規(guī)制措施,總結(jié)出有益于我國的寶貴經(jīng)驗(yàn)。最后提出相關(guān)建議,力圖使我國相關(guān)理論得到進(jìn)一步豐富,并進(jìn)一步探討適合我國現(xiàn)實(shí)國情的國企高管薪酬法律規(guī)制模式。
[Abstract]:State-owned enterprises play an important role in our country and are the lifeblood of the national economy. Their great contribution to the growth of the gross national product and the improvement of the people's living standards is irreplaceable. Since the reform and opening up, China's market economy has developed rapidly. In order to integrate into the tide of marketization, state-owned enterprises have also carried out a series of reforms and achieved brilliant achievements. But at the same time, we can not ignore many deficiencies in the development of state-owned enterprises. For example, executive compensation of state-owned enterprises is a hot issue arising from the market-oriented reform. In recent years, the government and academia have different opinions on this issue, but due to historical reasons and the particularity of state-owned enterprises in our country, There are still many challenges to solve the problems of executive compensation in practice. There are four parts in this paper. The first part mainly introduces the basic concepts involved, and combs the historical changes of the executive compensation system of state-owned enterprises. At the same time, the related theories of the legal regulation of executive compensation are expounded one by one, which lays the foundation for the research of the article. The second part analyzes and summarizes the legal regulation of executive compensation in state-owned enterprises and the existing problems in practice. The third part respectively introduces the western countries from the legislative, judicial and other aspects of state-owned enterprise executive compensation regulation, on the basis of the discussion of the role of the law, and summed up our state-owned enterprises executive compensation regulation can be used for reference. The fourth part, based on the above, puts forward several ideas to perfect the legal regulation of the executive compensation of state-owned enterprises in China, namely, to perfect the corporate governance structure of state-owned enterprises, to perfect the legal system of compensation system, to perfect the system of information disclosure. Improve executive compensation related supporting system, hoping to legal regulation of state-owned enterprises executive compensation benefits. In the whole research process, this paper mainly adopts the comparative research method, the system research method and other research methods. First of all, the use of theoretical knowledge to analyze the legal issues involved in the article. Secondly, through enumerating the legal regulation measures of executive compensation of state-owned enterprises in western developed market economy countries in detail, the valuable experience that is beneficial to our country is summed up. Finally, some suggestions are put forward to enrich the relevant theories of our country, and to further explore the legal regulation model of executive compensation of state-owned enterprises which is suitable for the actual situation of our country.
