【摘要】：為了對(duì)本國(guó)私人海外投資進(jìn)行保護(hù),資本輸出國(guó)會(huì)出臺(tái)海外投資保險(xiǎn)法律制度,其屬于國(guó)內(nèi)法,當(dāng)其所承保的海外投資在約定的保險(xiǎn)事故發(fā)生后遭受損失的,由其給予補(bǔ)償,分擔(dān)投資者的政治風(fēng)險(xiǎn),從而鼓勵(lì)資本的跨國(guó)流動(dòng)。近十年來(lái),隨著中國(guó)對(duì)外貿(mào)易的快速發(fā)展,中國(guó)對(duì)外投資也呈快速上升的態(tài)勢(shì)。但政治風(fēng)險(xiǎn)的存在使我國(guó)海外投資企業(yè)無(wú)時(shí)無(wú)刻不在受到威脅。而我國(guó)海外投資保險(xiǎn)法現(xiàn)階段還有很多缺陷存在,不利于保護(hù)我國(guó)的海外投資活動(dòng)。因此,迫切需要將海外投資保險(xiǎn)立法進(jìn)一步完善起來(lái),促使我國(guó)企業(yè)能夠“走出去”。健全我國(guó)海外投資保險(xiǎn)方面的法律是全文所要研究的主要內(nèi)容。全文的基本框架如下： 第一部分,概述海外投資保險(xiǎn)制度。對(duì)海外投資保險(xiǎn)的含義、特征、作用等進(jìn)行了介紹,并對(duì)政治風(fēng)險(xiǎn)的新發(fā)展進(jìn)行了闡述,可以此為基礎(chǔ)對(duì)我國(guó)海外投資保險(xiǎn)制度進(jìn)行深入分析。 第二部分,國(guó)內(nèi)現(xiàn)階段海外投資保險(xiǎn)法律制度的情況。對(duì)我國(guó)現(xiàn)階段海外投資保險(xiǎn)的情況進(jìn)行了介紹,并對(duì)立法和實(shí)踐過(guò)程中遇到的問(wèn)題進(jìn)行了分析。 第三部分,國(guó)外海外投資保險(xiǎn)制度的幾種類(lèi)型。這章分析了在海外投資保險(xiǎn)方面,對(duì)外投資較多的一些國(guó)家所執(zhí)行的法律制度,我國(guó)可以加以借鑒和學(xué)習(xí)。 第四部分,提出立法建議,以使我國(guó)海外投資保險(xiǎn)法律制度更加完善。根據(jù)我國(guó)具體的國(guó)情,論述我國(guó)的海外投資保險(xiǎn)制度應(yīng)采納何種模式、如何設(shè)立承保機(jī)構(gòu)、合格的承保人、承保險(xiǎn)別、具體的投保程序、保費(fèi)和保險(xiǎn)期限等問(wèn)題,提出了相關(guān)立法建議。
[Abstract]:In order to protect its private overseas investment, the Capital Exporting Congress has issued an overseas investment insurance legal system, which belongs to domestic law. If the overseas investment insured by it suffers losses after the agreed insurance accident, it shall compensate it. Share the political risk of investors, thereby encouraging the transnational flow of capital. In the past ten years, with the rapid development of China's foreign trade, China's foreign investment is also rising rapidly. But the existence of political risk makes our overseas investment enterprises under threat all the time. However, there are still many defects in the overseas Investment Insurance Law, which is not conducive to the protection of our country's overseas investment activities. Therefore, there is an urgent need to improve the overseas investment insurance legislation to promote our enterprises to "go out." Perfecting the law of overseas investment insurance is the main content of this paper. The basic framework of the paper is as follows: the first part, an overview of the overseas investment insurance system. This paper introduces the meaning, characteristics and functions of overseas investment insurance, and expounds the new development of political risk, which can be used as the basis for in-depth analysis of overseas investment insurance system in China. The second part, the domestic present stage overseas investment insurance legal system situation. This paper introduces the situation of overseas investment insurance in China at present, and analyzes the problems encountered in the process of legislation and practice. The third part, several types of overseas investment insurance system. This chapter analyzes the legal system implemented by some countries with more overseas investment insurance, which China can learn from. The fourth part, puts forward the legislative suggestion, in order to make our country overseas investment insurance legal system more perfect. According to the specific conditions of our country, this paper discusses what mode should be adopted in China's overseas investment insurance system, how to set up underwriting institutions, qualified underwriters, insurance types, specific insurance procedures, insurance premiums and insurance duration, etc. Some legislative suggestions are put forward.
