【摘要】：第三方支付機(jī)構(gòu)憑借自身特有的屬性,以信息技術(shù)和金融技術(shù)為依托,顛覆了傳統(tǒng)的交易方式,開創(chuàng)了互聯(lián)網(wǎng)交易的新模式,給互聯(lián)網(wǎng)金融行業(yè)增添了新動(dòng)力。但是,在第三方支付過程中,由于資金進(jìn)出存在時(shí)間差,客戶的部分資金滯留于第三方支付機(jī)構(gòu)的銀行賬戶中,理論及實(shí)踐中對(duì)該部分資金的性質(zhì)及其利息歸屬均存在爭(zhēng)議,且目前對(duì)客戶備付金的監(jiān)管模式也存在不足之處。本文以支付寶為例,在綜合評(píng)析各種學(xué)說的基礎(chǔ)上,從保管合同的角度,認(rèn)為第三方支付機(jī)構(gòu)客戶備付金為一般保管合同的標(biāo)的物,并論述了客戶備付金的孳息歸屬和監(jiān)管問題。最后,基于安全性和效率性,本文將客戶備付金分為“閑置資金”和“托管資金”,并在此基礎(chǔ)上以“余額寶”為例,探討了客戶備付金使用過程中存在的法律問題,并提出相應(yīng)的改進(jìn)措施。
[Abstract]:Relying on their own unique attributes, third-party payment institutions, relying on information technology and financial technology, subvert the traditional trading methods, create a new model of Internet transactions, and add new impetus to the Internet financial industry. However, in the process of third-party payment, due to the time lag in and out of the funds, part of the customer's funds remain in the bank accounts of the third-party payment institutions. In theory and practice, there are disputes about the nature of the funds and their interest attribution. And the current regulatory model of customer reserve also has shortcomings. This paper takes Alipay as an example, on the basis of comprehensive analysis of various theories, from the point of view of custody contract, thinks that the customer reserve of third-party payment institution is the subject matter of general custody contract. It also discusses the ownership and supervision of customer reserve. Finally, based on the security and efficiency, this paper divides the customer reserve into "idle funds" and "custody funds", and on this basis, taking "Yu'e Bao" as an example, discusses the legal problems existing in the process of using customer reserve funds. And put forward the corresponding improvement measures.
