【摘要】：公司登記制度改革的主要目的,除了完善制度本身,還致力于促進(jìn)市場(chǎng)活力,完善公司登記制度的功能。從這個(gè)角度出發(fā),首要的問(wèn)題是在現(xiàn)實(shí)背景下,探索公司登記制度功能的法理依據(jù)及內(nèi)涵。從公司登記制度發(fā)展的歷史看,其歷史沿革都是圍繞國(guó)家監(jiān)督主體與公司主體、公司主體與交易相對(duì)人進(jìn)行的,國(guó)家監(jiān)督和市場(chǎng)需求的力量消長(zhǎng)演變構(gòu)成公司登記制度發(fā)展的主旋律。探索公司登記制度改革后,制度功能的拓展與完善,就是探索如何通過(guò)功能發(fā)揮,平衡市場(chǎng)發(fā)展的需求、公司主體及債權(quán)人之間的利益,以及探索行政管理機(jī)關(guān)變國(guó)家監(jiān)管為社會(huì)服務(wù)的限度。本文研究主要通過(guò)梳理、分析、總結(jié)與公司登記制度改革相關(guān)的法律制度和實(shí)踐,探索在改革公司登記制度的框架下,更好發(fā)揮公司登記制度功能的可行方案。對(duì)公司登記制度功能的探索可以概括為以下三點(diǎn):首先,是協(xié)調(diào)國(guó)家監(jiān)管需求與市場(chǎng)發(fā)展需求的矛盾,設(shè)計(jì)能平衡二者沖突,使市場(chǎng)良性運(yùn)行,并能為市場(chǎng)接受的公司登記制度,以便更好的變公司登記制度的國(guó)家監(jiān)管功能為社會(huì)服務(wù)功能;其次,是協(xié)調(diào)公司主體及交易相對(duì)人利益的矛盾與沖突,彌補(bǔ)因監(jiān)管放開(kāi)而造成的不恰當(dāng)?shù)纳虡I(yè)行為損害債權(quán)人利益而帶來(lái)的各種問(wèn)題,比如協(xié)調(diào)在取消最低注冊(cè)資本限額后,對(duì)公司主體償債能力的監(jiān)督和管理措施,或是如何建設(shè)能為各方接受,并且運(yùn)行良好的信用體系。這是完善公司登記制度利益平衡功能的探索。第三,探索如何通過(guò)完善社會(huì)組織、促進(jìn)行業(yè)自律、建設(shè)信用體系等,協(xié)調(diào)公司主體逐利行為與債權(quán)人合法利益的沖突。公司登記制度改革涉及各方利益,監(jiān)管主體、市場(chǎng)、公司主體、交易相對(duì)人,甚至是社會(huì)公眾,都有自己的不同利益需求和主張,由于所處地位不同,他們的立場(chǎng)也不同。但從世界范圍和我國(guó)市場(chǎng)經(jīng)濟(jì)發(fā)展的狀況看,市場(chǎng)對(duì)放開(kāi)公司登記制度的需求要遠(yuǎn)遠(yuǎn)大于嚴(yán)格監(jiān)管的需求。而為了更好的實(shí)現(xiàn)公司登記制度的主體確認(rèn)功能,需要明確公司登記制度改革的實(shí)質(zhì),處理好政府與市場(chǎng)的關(guān)系。
[Abstract]:In addition to perfecting the system itself, the main purpose of the reform of the company registration system is to promote the market vitality and perfect the function of the company registration system. From this angle, the first problem is to explore the legal basis and connotation of the function of the company registration system under the realistic background. Judging from the history of the development of the company registration system, its historical evolution is carried out around the main body of state supervision and the main body of the company, the subject of the company and the relative person of the transaction. The growth and decline of state supervision and market demand constitute the main theme of the development of company registration system. After exploring the reform of the company registration system, the expansion and perfection of the system function is to explore how to balance the needs of the market development and the interests between the main body of the company and the creditors through the development of the system. And explore the administrative organs to the state supervision of the limits of social services. Through combing, analyzing, summing up the legal system and practice related to the reform of the company registration system, this paper explores the feasible scheme of giving better play to the function of the company registration system under the framework of the reform of the company registration system. The exploration of the function of the company registration system can be summarized as follows: first, it is to coordinate the contradiction between the national regulatory demand and the market development demand, and the design can balance the conflict between the two and make the market run well. And can accept the company registration system for the market, in order to better change the national supervision function of the company registration system into the social service function; secondly, it is to coordinate the conflicts and conflicts between the interests of the company subject and the relative party of the transaction. To make up for the various problems caused by improper business practices resulting from deregulation of regulations that harm the interests of creditors, such as coordinating supervision and management measures on the solvency of the main body of the company after the elimination of the minimum registered capital limit, Or how to build a credit system that is acceptable to all and runs well. This is the exploration of perfecting the function of balancing the interests of the company registration system. Third, explore how to perfect social organization, promote industry self-discipline, build credit system, and coordinate the conflict between the main body of the company and the legitimate interests of creditors. The reform of the company registration system involves the interests of all parties, the regulatory body, the market, the main body of the company, the relative party of the transaction, and even the public, all of which have their own different interests, needs and opinions, and their positions are different because of their different status. However, from the point of view of the development of market economy in the world and our country, the demand of the market for liberalizing the company registration system is far greater than the demand for strict supervision. In order to better realize the main function of the company registration system, it is necessary to clarify the essence of the reform of the company registration system and deal with the relationship between the government and the market.
