【摘要】：特殊企業(yè)是指那些依據(jù)特殊法律、法規(guī)或行政命令設(shè)立和運行,主要提供與國民生計密切相關(guān)的公共產(chǎn)品和服務(wù),執(zhí)行國家政策性、戰(zhàn)略性目標(biāo)的企業(yè)。特殊企業(yè)是市場經(jīng)濟發(fā)展的必然產(chǎn)物,但在我國對其缺少相應(yīng)的法律支持。長期以來,特殊企業(yè)并沒有引起我國學(xué)者的重視和研究,我國學(xué)者將研究重點集中到看似與特殊企業(yè)相同的國有企業(yè)上。而特殊企業(yè)始終披著“國有企業(yè)”這一外套,被淹沒在國有企業(yè)的理論研究中。隨著我國現(xiàn)代企業(yè)制度的建立和不斷完善,我國大多數(shù)傳統(tǒng)國有企業(yè)陸續(xù)改組為有限責(zé)任公司、股份有限公司或國有獨資公司,傳統(tǒng)的國有企業(yè)數(shù)量正在逐漸減少�？梢灶A(yù)見的是,隨著改革開放的不斷深入,傳統(tǒng)國有企業(yè)將逐步演變?yōu)樵趥�別領(lǐng)域存在的特殊企業(yè)。本文將特殊企業(yè)的法律地位作為主要的研究對象,希望能夠提出更多能夠支持我國特殊企業(yè)法律制度發(fā)展的實用性建議。第一部分通過介紹分析不同學(xué)者對特殊企業(yè)概念的界定得出本文作者對特殊企業(yè)概念的理解;第二部分介紹了我國特殊企業(yè)的特征以及表現(xiàn)形式;第三部分是在特殊企業(yè)概念和特征的基礎(chǔ)上對特殊企業(yè)所具有的特殊權(quán)利、義務(wù)及其合法性進行分析;第四部分是發(fā)現(xiàn)我國特殊企業(yè)存在的問題并提出相關(guān)對策。
[Abstract]:Special enterprises refer to those enterprises established and operated according to special laws, regulations or administrative orders, which mainly provide public goods and services closely related to the livelihood of the people, and carry out the national policy and strategic objectives. The special enterprise is the inevitable outcome of the development of market economy, but lacks the corresponding legal support in our country. For a long time, special enterprises have not attracted the attention and research of Chinese scholars. Chinese scholars focus on state-owned enterprises which seem to be the same as special enterprises. Special enterprises always wear the coat of "state-owned enterprises" and are submerged in the theoretical research of state-owned enterprises. With the establishment and continuous improvement of the modern enterprise system in our country, most of the traditional state-owned enterprises have been reorganized into limited liability companies, joint-stock limited companies or state-owned sole proprietorship companies, and the number of traditional state-owned enterprises is gradually decreasing. It can be predicted that with the deepening of reform and opening up, traditional state-owned enterprises will gradually evolve into special enterprises in individual fields. This paper takes the legal status of special enterprises as the main research object and hopes to put forward more practical suggestions to support the development of the legal system of special enterprises in China. In the first part, the author's understanding of the concept of special enterprise is obtained by introducing and analyzing the definition of the concept of special enterprise by different scholars, the second part introduces the characteristics and forms of expression of the special enterprise in our country. The third part is to analyze the special rights, obligations and legitimacy of special enterprises on the basis of the concept and characteristics of special enterprises; the fourth part is to find the problems of special enterprises in our country and put forward relevant countermeasures.
