【摘要】:公司在經(jīng)濟(jì)高速發(fā)展的形勢(shì)下,也日益出現(xiàn)了新的規(guī)則和公司治理模式。公司機(jī)會(huì)規(guī)則即是這種背景下的產(chǎn)物。公司機(jī)會(huì)規(guī)則的急需設(shè)立,旨在解決兩個(gè)問(wèn)題:一是禁止篡奪公司機(jī)會(huì);二是合理利用公司機(jī)會(huì)。適用公司機(jī)會(huì)規(guī)則的前提是確認(rèn)為公司機(jī)會(huì),即公司機(jī)會(huì)的認(rèn)定標(biāo)準(zhǔn)決定公司機(jī)會(huì)規(guī)則適用范圍的大小。公司機(jī)會(huì)具有商業(yè)性即獲利性或財(cái)產(chǎn)性,同時(shí)具有期待性、排他性以及相關(guān)性。財(cái)產(chǎn)性是公司機(jī)會(huì)的內(nèi)容屬性或者說(shuō)是其基礎(chǔ)屬性,期待性是其法律屬性,排他性和相關(guān)性是財(cái)產(chǎn)屬性的延伸屬性。英美法系中公司機(jī)會(huì)的認(rèn)定標(biāo)準(zhǔn)形成了諸種較為成熟的理論。我國(guó)學(xué)界對(duì)該標(biāo)準(zhǔn)的認(rèn)定亦存在多種見(jiàn)解。筆者認(rèn)為公司機(jī)會(huì)是可能帶來(lái)商業(yè)利益的機(jī)會(huì),是公司經(jīng)營(yíng)活動(dòng)內(nèi)的機(jī)會(huì),公司有能力利用,接受機(jī)會(huì)者是利用公司職務(wù)之便或者憑借公司職務(wù)身份。關(guān)于公司機(jī)會(huì)規(guī)則,我國(guó)現(xiàn)行立法時(shí)間并不久遠(yuǎn),立法亦存在諸多問(wèn)題,如公司機(jī)會(huì)及其認(rèn)定標(biāo)準(zhǔn)缺失,公司機(jī)會(huì)規(guī)則的規(guī)定欠缺獨(dú)立性,公司機(jī)會(huì)規(guī)則的適用主體存在問(wèn)題,利用公司機(jī)會(huì)的例外規(guī)定不合理以及侵害公司機(jī)會(huì)的救濟(jì)方式存在問(wèn)題。應(yīng)在立法上一方面確立公司機(jī)會(huì)的認(rèn)定標(biāo)準(zhǔn);另一方面增加合理利用公司機(jī)會(huì)的情形,尤其注重公司無(wú)利用機(jī)會(huì)能力和公司拋棄機(jī)會(huì)兩種典型情形;此外需進(jìn)一步明確篡奪公司機(jī)會(huì)的法律后果,歸入權(quán)的完善、撤銷(xiāo)權(quán)的設(shè)立以及損害賠償請(qǐng)求權(quán)的同步適用。對(duì)該制度展開(kāi)全面、系統(tǒng)、深入的研究,其意義有四個(gè)方面。首先,對(duì)過(guò)往的理論進(jìn)行評(píng)判分析,結(jié)合具體實(shí)例,得出自己關(guān)于此制度的判斷與建議,以期豐富和完善理論層面。其次,通過(guò)對(duì)規(guī)則的解釋、說(shuō)明,使得司法實(shí)踐適用規(guī)則更為統(tǒng)一、準(zhǔn)確。再次,對(duì)新制度的構(gòu)想,為公司機(jī)會(huì)規(guī)則的立法完善提供理論支持。最后,通過(guò)上述過(guò)程,改善我國(guó)的公司治理現(xiàn)狀,培育誠(chéng)實(shí)信用的經(jīng)營(yíng)理念,從而達(dá)到提升公司的市場(chǎng)競(jìng)爭(zhēng)力,促進(jìn)我國(guó)市場(chǎng)經(jīng)濟(jì)繁榮發(fā)展。本文的寫(xiě)作采用比較研究法、法條分析法以及具體案件的實(shí)證研究法。通過(guò)比較研究,可以清晰地展現(xiàn)英美法系公司機(jī)會(huì)規(guī)則的歷史沿革、內(nèi)容和優(yōu)劣。通過(guò)法條分析,能夠?qū)⒗碚撆c實(shí)際相結(jié)合,直面我國(guó)立法存在的問(wèn)題。通過(guò)對(duì)具體個(gè)案的實(shí)證研究,發(fā)掘?qū)嵺`中公司機(jī)會(huì)規(guī)則構(gòu)建的需要。以上研究方法的綜合使用,期待給各位讀者帶來(lái)關(guān)于公司機(jī)會(huì)規(guī)則更為立體、詳實(shí)、生動(dòng)的詮釋。
[Abstract]:Under the situation of rapid economic development, new rules and corporate governance models have emerged day by day. The corporate opportunity rule is the product of this background. The urgent need for the establishment of corporate opportunity rules aims to solve two problems: one is to prohibit usurpation of corporate opportunity and the other is to make rational use of corporate opportunity. The premise of applying the company opportunity rule is that it is recognized as the company opportunity, that is, the recognition standard of the company opportunity determines the scope of application of the company opportunity rule. Corporate opportunities are commercial, profitable or property, and are expected, exclusive, and relevant. Property is the content attribute or basic attribute of company opportunity, expectation is its legal attribute, exclusivity and relativity are the extension attribute of property attribute. In Anglo-American law system, the standard of corporate opportunity has formed various mature theories. There are also many opinions on the recognition of this standard in Chinese academic circles. The author thinks that the opportunity of the company is the opportunity which may bring the commercial benefit, is the opportunity within the company's management activity, the company has the ability to use, the person who accepts the opportunity is to take advantage of the company's position or rely on the company's position status. About the company opportunity rule, our country present legislation time is not long, the legislation also has many problems, for example, the company opportunity and its cognizance standard lacks, the company opportunity rule stipulation lacks the independence, the company opportunity rule applies the main body existence question. The exception of taking advantage of the opportunity of the company is unreasonable and there are some problems in the remedy of infringing the opportunity of the company. On the one hand, we should establish the identification standard of the company's opportunity on the one hand, on the other hand, we should increase the situation of reasonable utilization of the company's opportunity, especially pay attention to the two typical cases of the company's ability to take advantage of the opportunity and the company's abandonment of the In addition, the legal consequences of usurpation of the opportunity of the company, the perfection of the right to relegate, the establishment of the right of rescission and the simultaneous application of the right to claim for damages should be further clarified. It has four aspects of significance to carry out a comprehensive, systematic and in-depth study of the system. First of all, the theory of the past is judged and analyzed, combined with concrete examples, to get their own judgment and suggestions on this system, in order to enrich and improve the theoretical level. Secondly, through the interpretation of the rules, the rules of judicial practice are more uniform and accurate. Thirdly, the conception of the new system provides theoretical support for the legislative perfection of the corporate opportunity rules. Finally, through the above mentioned process, we can improve the present situation of our country's corporate governance, cultivate the management idea of honesty and credit, so as to enhance the market competitiveness of the company and promote the prosperity and development of our market economy. This paper adopts comparative research method, law analysis method and empirical research method of specific cases. Through comparative study, we can clearly show the historical evolution, content and advantages and disadvantages of corporate opportunity rules in common law system. Through the analysis of laws and regulations, we can combine theory with practice and face the problems of our country's legislation. Through the empirical study of specific cases, we explore the need for the construction of corporate opportunity rules in practice. The comprehensive use of the above research methods is expected to bring you a more solid, detailed and vivid interpretation of the company's opportunity rules.
