【摘要】：商事登記亦稱商業(yè)登記,是指當(dāng)事人依照法律規(guī)定向主管機關(guān)提出的旨在設(shè)立、變更或終止商事主體資格申請,并被商事登記機關(guān)核準(zhǔn)予以注冊登記的一系列法律行為的總稱。目前我國所實施的商事登記最基本的特征是營業(yè)執(zhí)照在商事登記中具有絕對主導(dǎo)地位,其不但擔(dān)負(fù)著市場主體身份的證明功能,還兼具市場主體經(jīng)營權(quán)利的證明功能、市場主體經(jīng)營行為的證明功能和市場主體資本信用的證明功能等多重作用,并且主要由工商部門進行“兜底”,無形中形成對無照經(jīng)營應(yīng)由工商部門進行查處和監(jiān)管的意識,同時也會造成企業(yè)在準(zhǔn)入過程中面臨重重審批關(guān)卡,客觀上形成一種“重準(zhǔn)入、輕監(jiān)管”的管理模式。論文以商事登記制度改革為背景,比較了各國商事登記制度,分析了我國現(xiàn)行商事登記制度試點存在的問題,以及廣州市南沙區(qū)規(guī)劃為國家新區(qū)后的政策背景,對商事登記立法、主體資格與經(jīng)營資格分離、實行住所與登記場所相分離、實行豁免自然人商事主體登記改革、商事主體信息公示等方面提出對策,并就引入行業(yè)協(xié)會監(jiān)管、將企業(yè)信用公示系統(tǒng)與社會信用公示系統(tǒng)相連、重構(gòu)企業(yè)監(jiān)管流程等進行分析,從而改革現(xiàn)行企業(yè)準(zhǔn)入門檻高、許可程序繁瑣的商事登記體制,實現(xiàn)社會資源優(yōu)化配置,促進南沙區(qū)的進一步發(fā)展。
[Abstract]:Commercial registration, also called business registration, refers to a series of legal acts submitted by the parties to the competent authority in accordance with the provisions of the law to establish, modify or terminate the application for the qualification of the commercial subject, and to be approved by the commercial registration authority for registration. At present, the most basic feature of commercial registration in our country is that the business license has an absolute dominant position in commercial registration, which not only bears the function of proving the identity of the market subject, but also has the function of proving the business rights of the market subject. The proof function of market main body's operation behavior and the proof function of market main body's capital credit have many functions, and they are mainly carried out by the industry and commerce department, which invisibly forms the consciousness that the unlicensed operation should be investigated and punished by the industry and commerce department, and the supervision and supervision should be carried out by the industry and commerce department. At the same time, it will also cause the enterprises to face a lot of examination and approval barriers in the process of entry, which objectively forms a management mode of "emphasizing on access rather than supervision". Based on the reform of the commercial registration system, this paper compares the commercial registration systems of various countries, analyzes the problems existing in the current commercial registration system in China, and the policy background of Nansha District of Guangzhou after it is planned as a new national district. To the legislation of commercial registration, the separation of subject qualification and business qualification, the separation of domicile and place of registration, the reform of exemption from the registration of natural persons and the publicity of commercial subject information, etc., and the introduction of supervision by trade associations. Connecting the enterprise credit publicity system with the social credit publicity system, reconstructing the enterprise supervision process and so on, so as to reform the current commercial registration system with high entry threshold and cumbersome licensing procedures, and realize the optimal allocation of social resources. To promote the further development of Nansha District.
