【摘要】：轉(zhuǎn)售價格維持是指處于同一產(chǎn)業(yè)不同環(huán)節(jié)的交易者之間達成某些協(xié)議,雙方對商品轉(zhuǎn)售于第三人時的價格做出了限定。轉(zhuǎn)售價格維持是縱向限制競爭行為的典型類型,由于該行為限定了交易價格,可能會造成破壞市場競爭和損害消費者利益的消極后果,因此,許多國家的反壟斷法中都對轉(zhuǎn)售價格維持進行了相應的規(guī)制。然而,一些經(jīng)濟學研究表明,轉(zhuǎn)售價格在推動品牌間競爭、防止“搭便車”等方面有著其存在的合理性,甚至可能存在促進市場競爭的積極效果。因此,按照何種原則、方式對轉(zhuǎn)售價格維持行為進行規(guī)制,成為各國反壟斷法所要解決的重要問題。美國和歐盟是反壟斷法的先行國家,其對轉(zhuǎn)售價格維持行為規(guī)制的原則和方式值得我們學習與借鑒。美國對轉(zhuǎn)售價格維持行為采取了本身違法原則與合理原則進行規(guī)制。自1911年的Dr Miles案后的相當長的時期內(nèi),轉(zhuǎn)售價格維持行為一直被按照本身違法原則來處理,后來隨著經(jīng)濟理論的發(fā)展,法院也開始采用合理原則對該行為進行審查。歐盟在借鑒美國的理論基礎之上,并結合自身的實際情況,對轉(zhuǎn)售價格維持采取了概括禁止加例外豁免的態(tài)度。雖然各國對轉(zhuǎn)售價格維持的具體法律規(guī)定不同,但是對轉(zhuǎn)售價格維持行為的態(tài)度基本已達成共識。我國的《中華人民共和國反壟斷法》對轉(zhuǎn)售價格維持行為進行了規(guī)制,但由于法律規(guī)定過于簡單和原則,造成了一些執(zhí)法和司法上的困境。因此,筆者在研究比較外國立法及司法實踐的基礎上,結合中國現(xiàn)行法律以及在我國司法實踐中存在的問題,提出了對我國轉(zhuǎn)售價格維持法律規(guī)制的一些建議,期待可以對我國轉(zhuǎn)售價格維持法律規(guī)制的理論和實踐有所幫助。
[Abstract]:Resale price maintenance refers to the agreement reached between traders in different links of the same industry, which limits the price when the goods are resold to the third party.Resale price maintenance is a typical type of vertical restrictive competition behavior, which, since it limits the transaction price, may result in negative consequences of undermining market competition and harming consumer interests.In many countries, resale price maintenance is regulated by anti-monopoly law.However, some economic studies show that resale price has its rationality in promoting competition among brands and preventing "hitchhiking", and may even have positive effects in promoting market competition.Therefore, according to what principle, the way to regulate the resale price maintenance behavior has become an important issue to be solved in the anti-monopoly law of various countries.The United States and the European Union are the leading countries in anti-monopoly law, and the principles and ways of regulating the behavior of resale price maintenance are worthy of our study and reference.The United States has adopted its own illegal principle and reasonable principle to maintain resale price.For a long time since Dr Miles's case in 1911, resale price maintenance has been dealt with according to its own illegal principle, and later, as economic theory developed, the court began to apply the principle of reasonableness to examine the behavior.On the basis of the theory of the United States and the actual situation, the European Union adopts the attitude of general prohibition and exception exemption to the resale price maintenance.Although the specific legal provisions of resale price maintenance vary from country to country, the attitude towards resale price maintenance has basically reached a consensus.The Anti-Monopoly Law of the people's Republic of China regulates the maintenance of resale price, but the legal provisions are too simple and principle, resulting in some difficulties in law enforcement and judicature.Therefore, on the basis of studying and comparing the foreign legislation and judicial practice, the author puts forward some suggestions to maintain the legal regulation of resale price in our country, combining with the current law of China and the problems existing in the judicial practice of our country.It is expected to be helpful to the theory and practice of legal regulation of resale price in China.
