【摘要】：企業(yè)經(jīng)營運作中存在諸如戰(zhàn)略、財務(wù)、經(jīng)營、技術(shù)、管理等風險,也包括近年愈加受到重視的法律風險。企業(yè)法律風險是指基于法律規(guī)定、監(jiān)管要求或者合同的約定,由于企業(yè)所處的外部環(huán)境及其變化,或企業(yè)及其利益相關(guān)者之作為或不作為,對企業(yè)目標產(chǎn)生的影響。其幾乎普遍存在并貫穿于企業(yè)經(jīng)營發(fā)展全部過程中,既有可能造成企業(yè)的經(jīng)濟損失,還有可能導(dǎo)致企業(yè)破產(chǎn),故需引起廣泛關(guān)注。企業(yè)法律風險管理控制主要是為了降低企業(yè)的法律風險,而建立的包括對法律風險進行識別、分析、評價、管理、監(jiān)控及優(yōu)化等行為的系統(tǒng)性工程。本文以企業(yè)如何有效防范法律風險作為導(dǎo)向,以化解企業(yè)風險作為目標,從企業(yè)風險管理角度出發(fā),通過對國內(nèi)外企業(yè)在法律風險管理方面的研究成果、經(jīng)驗、理論進行介紹分析,結(jié)合法學(xué)及風險管理學(xué)研究的理論,以深圳A公司作為研究對象,對此常見的法律風險及涉訴糾紛進行研究,考察影響遠洋漁業(yè)企業(yè)法律風險的常見的重要因素。本文既研究介紹A公司以往發(fā)生的涉訴、仲裁糾紛的案例著眼,又從內(nèi)部管理及外部生產(chǎn)經(jīng)營實際著手。對A公司已發(fā)生的及潛在的常見的法律風險進行分析,從內(nèi)部行政管理、人事管理、財務(wù)管理、經(jīng)營管理以及外部的生產(chǎn)經(jīng)營和對外投資等方面所存在的法律風險點進行梳理識別,分析該公司對法律風險管理控制之現(xiàn)狀及不足之處,探討引發(fā)法律風險的一些根源誘因。主要目標在于通過對A公司的實例分析,探究遠洋漁業(yè)企業(yè)如何有效對法律風險進行管理控制,尤其是在管控訴訟糾紛方面的法律風險,為企業(yè)穩(wěn)定健康發(fā)展創(chuàng)造有利的條件。最后,綜合A公司所存在常見重要的法律風險,本文從將其誘因歸結(jié)于主防控意識、人事管理、合同管理、國外法律關(guān)注度、生產(chǎn)管理等方面的。結(jié)合遠洋漁業(yè)行業(yè)所具有的基本特征以及深圳A公司自身經(jīng)營實際,為該公司法律風險管理控制之改善提出幾點優(yōu)化策略,包括:(1)提升公司整體法律意識;(2)加強公司制度建設(shè);(3)設(shè)立法律風險管理部門;(4)關(guān)注涉外法律發(fā)展變化。
[Abstract]:There are such risks as strategy, finance, management, technology, management and so on in the operation of enterprises, including the legal risks which have been paid more attention to in recent years.The enterprise legal risk refers to the influence on the enterprise's goal based on the legal regulation, the regulation requirement or the agreement of the contract, because of the external environment and its change of the enterprise, or the action or omission of the enterprise and its stakeholders.It exists almost universally and runs through the whole process of enterprise management and development, which may cause economic losses and bankruptcy of enterprises, so it needs to be paid more attention to.Legal risk management and control of enterprises is mainly to reduce the legal risk of enterprises, and the establishment of the legal risk including the identification, analysis, evaluation, management, monitoring and optimization of the behavior of systematic engineering.In this paper, how to effectively guard against legal risk as a guide, to resolve the enterprise risk as the goal, from the point of view of enterprise risk management, through the domestic and foreign enterprises in the legal risk management research results, experience,This paper introduces and analyzes the theory, combines the theory of law and risk management, takes Shenzhen A Company as the research object, and studies the common legal risks and litigation disputes.To investigate the common and important factors that affect the legal risk of ocean fishing enterprises.This paper not only introduces the cases of litigation and arbitration in Company A, but also starts with internal management and external production and management.To analyze the existing and potential common legal risks in company A, from internal administration, personnel management, financial management,This paper analyzes the existing legal risk points in the aspects of management, production and investment, analyzes the current situation and deficiencies of the legal risk management, and discusses the causes of the legal risk.The main goal is to find out how to manage and control the legal risk effectively by analyzing the case of company A, especially the legal risk in the lawsuit dispute, so as to create favorable conditions for the stable and healthy development of the enterprise.Finally, synthesizing the common and important legal risk of company A, this paper puts it down to the consciousness of main prevention and control, personnel management, contract management, foreign legal attention, production management and so on.Combined with the basic characteristics of ocean fishery industry and the actual operation of Shenzhen A Company, this paper puts forward some optimization strategies for the improvement of the legal risk management and control of the company.Including: 1) raising the overall legal consciousness of the company. (2) strengthening the construction of the company system; setting up a legal risk management department; (4) paying close attention to the development and change of the law concerning foreign affairs.
