【摘要】：隨著社會經(jīng)濟不斷發(fā)展,為了在市場競爭中取得優(yōu)勢地位,公司合并現(xiàn)象日益增多,而在此過程中處于弱勢地位的小股東的利益也受到了巨大的影響。在市場經(jīng)濟的大環(huán)境下,完善立法和司法程序,運用法律手段在公司合并中切實保護小股東的利益,值得我們深入討論研究。在公司合并時對小股東的利益保護問題中,異議股東股份回購請求權(quán)制度是一個非常重要的問題,而我國在保護小股東行使異議股東回購請求權(quán)方面的法律制度還不完善,存在司法救濟程序缺失的情況,使小股東維權(quán)面臨諸多問題。對于這些問題,應(yīng)從公司履行提前告知義務(wù)、異議股東持有效異議和異議股東申請法院裁定股份價格的程序等多角度來解決。另外信息披露制度和董事會和監(jiān)事會制度,也是公司合并中的常見問題,也亟需完善。本文試從兩個典型的公司合并案例出發(fā),就案例中出現(xiàn)的影響小股東利益的爭議,結(jié)合目前我國公司對小股東權(quán)益保護的現(xiàn)狀,引出對小股東利益保護的必要性,并著重對異議股東股份回購請求權(quán)制度進行了分析,最后就回購請求權(quán)制度、信息披露制度和異議股東申請法院裁定股份價格程序問題,提出了若干有利于完善我國小股東權(quán)益保護體系的建議。希望能對我國市場經(jīng)濟健康、有序發(fā)展,保護經(jīng)濟發(fā)展過程中弱勢群體小股東們的利益起到一定作用。
[Abstract]:With the development of social economy, in order to obtain the advantage in the market competition, the phenomenon of company merger is increasing day by day, and the interests of the minority shareholders who are in the weak position in this process have also been greatly affected.Under the environment of market economy, perfecting legislation and judicial procedure and using legal means to protect the interests of minority shareholders in the merger of the company are worthy of our in-depth discussion and study.In the protection of the interests of minority shareholders when the company is merged, the system of claim for share repurchase of dissenting shareholders is a very important issue, but the legal system of protecting minority shareholders' right to repurchase claims is not perfect in our country.The absence of judicial remedy procedure makes minority shareholders face many problems.These problems should be solved from the following aspects: the company performs the obligation to inform in advance, the dissenting shareholder holds the valid objection and the dissenting shareholder applies to the court to determine the price of the shares.In addition, the system of information disclosure and board of directors and board of supervisors are also common problems in the merger, and need to be improved.Starting from two typical merger cases, this paper tries to discuss the disputes that affect the interests of minority shareholders in the case, combined with the current situation of the protection of minority shareholders' rights and interests in our country, and leads to the necessity of protecting the interests of minority shareholders.The system of claim for share repurchase of dissenting shareholders is analyzed. Finally, the system of repurchase claim, the system of information disclosure and the procedure of applying for court ruling on the price of shares by dissenting shareholders are discussed.Some suggestions are put forward to improve the protection system of minority shareholders' rights and interests in China.It is hoped that it will play a certain role in the healthy and orderly development of our market economy and the protection of the interests of minority shareholders of the vulnerable groups in the course of economic development.
