【摘要】：有限責(zé)任公司的股權(quán)轉(zhuǎn)讓是商事交易活動(dòng)中最常見的交易類型,然而若轉(zhuǎn)讓的股權(quán)存在出資瑕疵則會(huì)使交易中存在更多不可管控的風(fēng)險(xiǎn)。在我國,有限責(zé)任公司瑕疵出資股權(quán)轉(zhuǎn)讓存在以下幾個(gè)亟待解決的問題。第一,有限責(zé)任公司瑕疵出資股權(quán)轉(zhuǎn)讓合同的效力認(rèn)定沒有統(tǒng)一的標(biāo)準(zhǔn),同案不同判的現(xiàn)象屢見不鮮;第二,有限責(zé)任公司瑕疵出資股權(quán)轉(zhuǎn)讓后的民事責(zé)任由誰承擔(dān)在法律法規(guī)中并未著墨,如何承擔(dān)民事責(zé)任也規(guī)定得過于簡單,無法解決實(shí)踐中存在的問題。首先,本文對有限責(zé)任公司瑕疵出資股權(quán)轉(zhuǎn)讓合同效力的爭議進(jìn)行了梳理,厘清了各爭議之間的異同,從合同的主體、客體、性質(zhì)三個(gè)方面進(jìn)行分析,得出可撤銷說較為科學(xué)合理的結(jié)論。同時(shí),建議各方主體應(yīng)在保證股權(quán)交易順利進(jìn)行的前提下審慎使用撤銷權(quán)。其次,本文歸納了有限責(zé)任公司瑕疵出資股權(quán)轉(zhuǎn)讓后民事責(zé)任承擔(dān)幾個(gè)重點(diǎn)爭議焦點(diǎn),綜合商事交易的特點(diǎn)與經(jīng)濟(jì)市場的特征,提出了一些完善建議。第一,民事責(zé)任承擔(dān)的主體除學(xué)界現(xiàn)有的爭議類型以外,還應(yīng)包括未盡勤勉義務(wù)以及協(xié)助抽逃出資的公司其他股東、協(xié)助抽逃出資的董事和高管、未盡勤勉義務(wù)的董事和高管;第二,《公司法司法解釋(三)》第19條第1款規(guī)定由惡意受讓人與出讓人承擔(dān)連帶責(zé)任的規(guī)定缺乏法律邏輯,應(yīng)不區(qū)分受讓人的主觀狀態(tài)由受讓人與出讓人承擔(dān)連帶責(zé)任;第三,賦予善意受讓人追償權(quán),定義何為善意,并完善舉證責(zé)任的規(guī)定,分析善意受讓人具有追償權(quán)的法理基礎(chǔ)。
[Abstract]:The equity transfer of limited liability company is the most common type of transaction in commercial transactions. However, if the transferred equity is defective in capital contribution, there will be more risks that can not be controlled in the transaction. There are several problems to be solved urgently. First, there is no uniform standard for the validity of the transfer contract of defective capital contribution in limited liability company, and the phenomenon of different judgments in the same case is common; second, The civil liability of the limited liability company after the share transfer of defective contribution is not covered by the laws and regulations, and how to bear the civil liability is too simple to solve the problems existing in practice. In this paper, the author sorts out the disputes about the validity of the transfer contract of defective capital contribution of limited liability company, clarifies the similarities and differences among the disputes, and analyzes the subject, object and nature of the contract. At the same time, it is suggested that the parties should make prudent use of the revocation right on the premise of ensuring the smooth progress of equity transactions. This paper sums up several focal points of civil liability after the transfer of defective capital shares of limited liability companies, synthesizes the characteristics of commercial transactions and the characteristics of economic markets, and puts forward some suggestions for perfection. In addition to the types of disputes existing in academic circles, the subjects of civil liability should include those who fail to fulfill their duty of diligence and assist other shareholders of the company to withdraw their capital contribution, the directors and executives who withdraw their capital contributions, and the directors and executives who fail to fulfill their duty of diligence; Second, Article 19 (1) provides that the malicious transferee and the transferee shall bear joint and several liability without legal logic, and shall not distinguish the subjective state of the transferee from that of the transferee and the transferee shall bear joint and several liability. To grant the bona fide transferee the right of recovery, to define what is bona fide, and to perfect the provisions of the burden of proof, and to analyze the legal basis of the bona fide transferee to have the right of recourse.
