【摘要】：轉(zhuǎn)售價(jià)格維持競(jìng)爭(zhēng)效果認(rèn)定的模棱兩可給依反壟斷法對(duì)其的恰當(dāng)處置帶來(lái)了挑戰(zhàn)。美國(guó)的Leegin案確立的轉(zhuǎn)售價(jià)格維持之合理原則的正當(dāng)性是有限度的,圖景誤置暗藏著消解我國(guó)反壟斷法制統(tǒng)一性的危機(jī)。我國(guó)《反壟斷法》原則性禁止排除、限制競(jìng)爭(zhēng)的轉(zhuǎn)售價(jià)格維持絕不是立法錯(cuò)誤,對(duì)其適用的難點(diǎn)在于分析方法構(gòu)造。立足本土,我國(guó)需要對(duì)有關(guān)轉(zhuǎn)售價(jià)格維持"原則禁止+例外豁免"的規(guī)范意義及其分析方法形成自覺理解和自主選擇。對(duì)轉(zhuǎn)售價(jià)格維持采取可抗辯的違法推定的分析方法具備適合性,但其依據(jù)不是"原則禁止+例外豁免"下的邏輯推導(dǎo)。為了避免可抗辯的違法推定陷入本身違法的陷阱,應(yīng)著力構(gòu)建轉(zhuǎn)售價(jià)格維持的抗辯體系和抗辯清單,以此保障抗辯實(shí)質(zhì)化。對(duì)轉(zhuǎn)售價(jià)格維持執(zhí)法案件的事后評(píng)估有助于執(zhí)法政策優(yōu)化和分析方法改進(jìn)。
[Abstract]:The ambiguity of maintaining the competitive effect of resale price brings a challenge to the proper treatment of resale price under antitrust law. The reasonable principle of resale price maintenance established in the Leegin case in the United States is limited. The picture misplaced hidden the crisis of dispelling the unity of the anti-monopoly law in our country. Our country's "Anti-monopoly Law" prohibits the elimination of principle and restricts the resale price maintenance of competition is not a legislative mistake. The difficulty to apply to it lies in the construction of analytical methods. Our country needs to form a conscious understanding and independent choice on the normative meaning of "principle forbidding exceptional exemption" and its analytical method about the maintenance of resale price, and the analysis method of adopting a defensible presumption of illegality for the maintenance of resale price is suitable. But its basis is not the logical derivation under "principle forbids exception immunity". In order to avoid the defensible presumption of violation falling into its own illegal trap, it is necessary to construct the defense system and defense list of resale price maintenance. In order to ensure the substantiation of the defense, the post-evaluation of the law enforcement case is helpful to the optimization of the enforcement policy and the improvement of the analytical method.
