【摘要】：僵尸企業(yè)的治理是一個法治化進程,破產(chǎn)法及其實施機制功能的發(fā)揮則起著決定性作用。為了順利推進這一進程,需要明晰其法治化根源、法治化進程核心問題、法治化進程面臨阻礙因素以及法治化進程應(yīng)堅持的基本原則,進而以破產(chǎn)法及其實施機制的完善為中心,圍繞立法、執(zhí)法、司法以及法律監(jiān)督四個環(huán)節(jié)予以系統(tǒng)性推進。破產(chǎn)程序性制度的拓補、破產(chǎn)配套性制度的完善以及破產(chǎn)保證性制度的構(gòu)建是立法拓補的主體路徑;行政執(zhí)法部門破產(chǎn)程序協(xié)同義務(wù)的明確以及行政執(zhí)法與司法聯(lián)席會議制度的確立是執(zhí)法改革的主體路徑;專業(yè)性破產(chǎn)法院的建立、專業(yè)審判人員的選任及其科學(xué)考核機制的確立是司法完善的必然路徑;破產(chǎn)管理局的設(shè)置則是破產(chǎn)程序監(jiān)督機制推進的核心路徑。
[Abstract]:The governance of zombie enterprises is a process of rule by law, and the function of bankruptcy law and its implementation mechanism plays a decisive role. The process of rule by law is faced with obstacles and the basic principles that should be adhered to in the process of ruling by law, and then centered on the perfection of the bankruptcy law and its implementation mechanism, and revolves around legislation and law enforcement. The four links of judicial and legal supervision are systematically promoted. The main route of legislation extension is the supplement of bankruptcy procedural system, the perfection of bankruptcy matching system and the construction of bankruptcy guarantee system. The main route of law enforcement reform is the clarification of administrative law enforcement department's duty of cooperation in bankruptcy procedure and the establishment of the joint system of administrative law enforcement and judicial administration, the establishment of professional bankruptcy court, and the establishment of administrative law enforcement and judicial system. The selection and appointment of professional judges and the establishment of scientific assessment mechanism are the inevitable path of judicial perfection, while the establishment of bankruptcy administration is the core path to advance the supervision mechanism of bankruptcy procedure.
