【摘要】:隨著網(wǎng)絡(luò)交易為代表的電子商務(wù)的發(fā)展,第三方支付逐漸進(jìn)入我們的視野。第三方支付原本是為解決網(wǎng)絡(luò)交易中銷售者和消費(fèi)者互不見面甚至可能互不相識(shí)而產(chǎn)生的信用問題的工具。但當(dāng)?shù)谌街Ц栋殡S著網(wǎng)絡(luò)交易而迅猛發(fā)展,現(xiàn)行的法律法規(guī)制度遠(yuǎn)遠(yuǎn)跟不上第三方支付發(fā)展的水平,過快的擴(kuò)張速度帶來了多種問題,而消費(fèi)者的權(quán)益保護(hù)則是其中值得重點(diǎn)關(guān)注的問題。傳統(tǒng)交易模式下相對(duì)于經(jīng)營者處于弱勢(shì)地位的消費(fèi)者,面對(duì)加入交易的第三方支付構(gòu)成的更復(fù)雜的法律關(guān)系,其權(quán)益保護(hù)面臨更大的考驗(yàn),尤其是現(xiàn)在的第三方支付平臺(tái)的代表支付寶、財(cái)付通、銀聯(lián)商務(wù)等,其體量甚至比大部分經(jīng)營者更大,在它們面前消費(fèi)者的弱勢(shì)地位更加明顯。而現(xiàn)有法律體系在包括消費(fèi)者資金安全、信息披露、收益歸屬、個(gè)人信息保護(hù)等諸多方面缺乏對(duì)消費(fèi)者的適當(dāng)保護(hù)。本文分為六個(gè)部分,通過對(duì)第三方支付與消費(fèi)者基礎(chǔ)關(guān)系的分析,進(jìn)而深入探討現(xiàn)有消費(fèi)者保護(hù)法律體系中存在的問題,并對(duì)上述問題提出有針對(duì)性的建議。第一部分為引言,通過兩個(gè)案例和簡(jiǎn)要評(píng)析引出本文討論的問題。第二部分為第三方支付的一般理論。首先介紹第三方支付目前理論和實(shí)務(wù)界對(duì)它的定義和研究程度,其次介紹第三方支付的參與主體和大致流程,進(jìn)而深入分析第三方支付中的法律關(guān)系,為后文論述打下基礎(chǔ)。第三部分為第三方支付中消費(fèi)者權(quán)益保護(hù)的意義,通過對(duì)現(xiàn)行法律法規(guī)的規(guī)定及立法意旨的研究,討論第三方支付中消費(fèi)者保護(hù)的意義。第四部分為我國第三方支付中消費(fèi)者權(quán)益保護(hù)存在的問題,為論文的重點(diǎn)部分,本文選取了具有代表性的八個(gè)方面的問題,包括:第三方支付的牌照轉(zhuǎn)讓、退出市場(chǎng)規(guī)定不完善影響消費(fèi)者財(cái)產(chǎn)和信息安全,備付金利益歸屬制度缺乏、支付差錯(cuò)規(guī)定不完善且責(zé)任劃分模糊、抗辯制度不完善、支付信息披露制度不完善、消費(fèi)者個(gè)人信息缺乏保護(hù)制度、對(duì)消費(fèi)者權(quán)利存在不合理限制、消費(fèi)者權(quán)利救濟(jì)途徑不完善等,大致涵蓋了第三方支付中消費(fèi)者權(quán)益受損的主要類型,并對(duì)這些問題進(jìn)行了分析。第五部分為我國第三方支付中消費(fèi)者權(quán)益保護(hù)的完善,為論文的重點(diǎn)部分,針對(duì)第四部分中提出的問題進(jìn)行研究并提出建議:完善第三方支付的牌照轉(zhuǎn)讓、退出市場(chǎng)的完善相關(guān)制度以確保消費(fèi)者財(cái)產(chǎn)和信息安全;設(shè)立公益基金等方式平衡消費(fèi)者和第三方支付機(jī)構(gòu)間的備付金利益;完善相關(guān)制度尤其是責(zé)任分配制度解決支付差錯(cuò)及隨之產(chǎn)生的責(zé)任劃分問題;明確原則上對(duì)于第三方支付不應(yīng)適用延伸抗辯;完善第三方支付相關(guān)服務(wù)信息的披露制度;全面完善民事、行政、刑事責(zé)任全面加強(qiáng)消費(fèi)者個(gè)人信息的保護(hù);完善相關(guān)制度排除對(duì)消費(fèi)者權(quán)利的不合理限制;從管轄權(quán)和舉證責(zé)任兩方面入手完善消費(fèi)者權(quán)益救濟(jì)。第六部分為結(jié)語,承上文論述,總結(jié)全文內(nèi)容,再次闡述本文意旨。
[Abstract]:With the development of electronic commerce network transactions as the representative of the third party payment into our vision. The third party payment was to solve the credit problem in the network transaction sellers and consumers do not meet or even do not know each other and produce tools. But when the third party payment transactions with the network and the rapid development of the current the legal system lags far behind the development of the third party payment level, the speed of rapid expansion has brought many problems, and the protection of consumer rights is one of the issues that should be focused. The traditional trading mode for operators to consumers in a weak position, facing the more complex legal relationship with third party payment transactions the protection of the rights and interests of the face a greater challenge, especially now that the third party payment on behalf of the Alipay platform, caifutong, union commerce, the body of To more than the majority of operators, more obvious in front of them. The weak position of consumers and consumers in the existing legal system including financial security, information disclosure, the income attributable to the lack of proper protection to consumers, many aspects of the protection of personal information. This paper is divided into six parts, through the analysis of the relationship between the third party payment and consumer based then, in-depth study of the existing consumer protection law system, and the problems put forward some suggestions. The first part is the introduction, through the two case and briefly comments out of discussion in this paper. The second part is the general theory of third party payment. Firstly, the third party payment of current theory and practice the definition and research level, followed by the introduction of the third party payment participants and the general process, then analyzes the legal relationship of the third party payment, Lay the foundation for later discussion. The third part is the third party payment consumers' rights protection in significance, through the study of the provisions of the existing laws and regulations and legislative intention, to discuss the significance of the third party payment in consumer protection. The fourth part is the third party payment in our country consumer rights and interests protection in the existing problems, the key part of the paper in this paper, eight aspects, including: the third party payment of the transfer of a licence, out of the market regulation is not perfect effect of consumers' property and information security deposit interest payment system lacks, the provision is not perfect and the error responsibility fuzzy, defense system is not perfect, the payment information disclosure system perfect protection system of personal information of consumers lack of consumer rights, unreasonable restrictions, consumer rights relief is not perfect, roughly covers the third party payment The main types of damage to the interests of consumers, and these problems are analyzed. The fifth part is to improve our country third party payment of consumer rights and interests protection, is the key part in the fourth part, put forward to study the problem and put forward suggestions: perfecting the third party payment license transfer, withdraw from the market to perfect the related system in order to ensure consumers' property and information security; the establishment of public funds and other ways of balancing customer and third party payment institutions between deposit interest; improve the relevant system especially the division of responsibilities responsibility distribution system to resolve payment errors and the resulting; clear principle for the third party payment shall not apply to extend the defense; improve the third party payment service information disclosure system; comprehensive civil, administrative and criminal responsibility to strengthen the protection of personal information of consumers; perfecting the relevant system arrangement In addition to the unreasonable restrictions on consumers' rights, we should improve the relief of consumers' rights and interests from the two aspects of jurisdiction and burden of proof. The sixth part is the conclusion, taking the above discussion, summarizing the contents of the full text, and expound the intention of this article again.
