【摘要】：全國中小企業(yè)股份轉(zhuǎn)讓系統(tǒng),即“新三板”,自2006年1月16日正式啟動(dòng)以來,在我國的資本市場(chǎng)上逐步活躍,為企業(yè)在發(fā)展、融資的航向圖上,劃定了一個(gè)新坐標(biāo)。自2011年“新三板”試點(diǎn)擴(kuò)容以來,北京中關(guān)村、武漢東湖、上海張江、天津?yàn)I海等四個(gè)國家高新區(qū)進(jìn)入試點(diǎn),且有200多家企業(yè)掛牌,“新三板”這個(gè)新興名詞開始在我國的資本市場(chǎng)上走紅。那么,“新三板”從何而來?它需要達(dá)到的掛牌條件是什么?其現(xiàn)狀如何?在現(xiàn)存法律框架內(nèi)它在政策法規(guī)中享受何種優(yōu)惠,又受何限制?而與此同時(shí)掛牌“新三板”的過程中又有哪些法律問題待需改進(jìn)?本文通過概述“新三板”的由來及其掛牌條件,介紹了資本市場(chǎng)中一種新的股份轉(zhuǎn)讓方式。同時(shí),通過闡述“新三板”的市場(chǎng)現(xiàn)狀,結(jié)合我國現(xiàn)有的法律法規(guī)分析其優(yōu)勢(shì)和待需改進(jìn)之處。最后,對(duì)“新三板”在掛牌前后的過程中應(yīng)當(dāng)注意到的法律問題,提出了一些建議。
[Abstract]:The National SME share transfer system, namely the "new three", since January 16, 2006 officially launched, has become active in the capital market of our country, for the enterprise in the development, financing course chart, delineated a new coordinate. Since 2011, the "new three" pilot expansion since the Beijing Zhongguancun, Wuhan East Lake, Shanghai Zhangjiang Tianjin Binhai, four national high-tech zones in the pilot, and there are more than 200 companies listed, "this new term new three" became popular in the capital market of our country. So, the "new three" come from? It needs to be listed conditions is what? The existing legal framework in the current situation? It enjoys what kind of preferential policies and regulations in, and subject to any restrictions? While listing "new three" what are the legal problems need to be improved? This paper makes a brief introduction of the "new three" origin and listing a A, this paper introduces a new way of transfer of shares in the capital market. At the same time, through the elaboration of "new three board market situation", and analyzes the advantages and improvements needed to be combined with our existing laws and regulations. Finally, legal issues of "new three" should be in the process of listing before and after the notice, put forward a number of recommendations.
