【摘要】：作為現(xiàn)代合同法的一種基本分類，合同可以區(qū)分為一時性合同與繼續(xù)性合同。這種由于時間因素的介入而產(chǎn)生的合同分類，在合同法的理論和實踐中都有著重要的意義。我國合同法雖然在分則中規(guī)定了供用電、水、氣、熱力合同以及租賃合同、保管合同、倉儲合同等典型繼續(xù)性合同的相關規(guī)范，但并沒有在總則中對繼續(xù)性合同作出一般性的規(guī)定。在現(xiàn)代企業(yè)交易中，為了減少交易成本、避免繁瑣的締約程序，繼續(xù)性合同已經(jīng)逐漸演變?yōu)橐环N主要的交易方式；同時，新型的繼續(xù)性合同層出不窮，如連鎖加盟店合同、特許經(jīng)營店合同等等。由于繼續(xù)性合同在經(jīng)濟領域的廣泛應用，隨之而來的合同糾紛也日益增多，為了給司法裁判處理繼續(xù)性合同案件提供充分的理論依據(jù)，學說上對于繼續(xù)性合同的研究有待進一步深入。由于時間因素的介入、信賴關系的加強，繼續(xù)性合同具有不同于一時性合同的許多特點：首先，合同的給付具有持續(xù)性；其次，合同關系若未定有期限且履行后未加以終止則可無限延續(xù)下去；最重要的是，時間的長度對總給付的內(nèi)容與范圍有決定性意義。相應地，在法律適用上繼續(xù)性合同與一時性合同也有著諸多不同之處，如合同無效、被撤銷和解除之后的效力問題、抗辯權的行使以及訴訟時效的起算等等，本文將在合理界定繼續(xù)性合同的基礎上對這些問題展開討論。 全文主要分為五個部分：首先，通過介紹德國、我國臺灣地區(qū)以及大陸學者對繼續(xù)性合同概念界定的不同觀點，總結歸納出繼續(xù)性合同的概念、特征，為進一步分析繼續(xù)性合同的具體制度建立科學合理的邏輯起點。其次，明確繼續(xù)性合同的類型，根據(jù)合同持續(xù)性給付義務的產(chǎn)生依據(jù)及表現(xiàn)形態(tài)的不同，將繼續(xù)性合同分為固有的繼續(xù)性合同與繼續(xù)性供給合同，并對有爭議的諸種合同類型進行分析，以廓清其性質。再次，深入研究繼續(xù)性合同的本質，通過對相反意見的駁斥，進一步明確繼續(xù)性合同的本質是總給付的范圍決定于應為給付時間的長度，，并討論了該本質在不同類型的繼續(xù)性合同中的具體體現(xiàn)，以期對繼續(xù)性合同形成更加清晰完整的認識。然后，著重分析繼續(xù)性合同在現(xiàn)代合同法體系中的地位以及合同法規(guī)制繼續(xù)性合同的立法技術，進而發(fā)現(xiàn)繼續(xù)性合同與現(xiàn)代合同法理論的不協(xié)調(diào)之處，為問題的解決找準靶心。最后，提出完善繼續(xù)性合同相關法律制度的建議，一方面，通過檢討國外特別是德國的相關法律制度，提出解決問題的立法構想，以期為法律的完善提供理論支撐；另一方面采用法解釋學的方法，試圖在現(xiàn)有的立法框架內(nèi)對相關條文進行合乎體系、合乎邏輯的解釋，以期為司法實踐提供一種切實可行的解釋論途徑。
[Abstract]:As a basic classification of modern contract law, contract can be divided into temporary contract and continuous contract. This kind of contract classification, which is caused by the intervention of time factor, is of great significance in the theory and practice of contract law. Although the contract law of our country stipulates the relevant norms of typical succession contracts such as power supply, water, gas, heat and heat contracts, lease contracts, custody contracts, warehousing contracts, etc., However, there is no general provision for succession contracts in the general provisions. In modern enterprise transaction, in order to reduce transaction cost and avoid tedious contracting procedure, continuous contract has gradually evolved into a main way of transaction. At the same time, new succession contracts emerge in endlessly, such as chain franchisee contract, franchising shop contract and so on. Due to the wide application of continuous contract in the economic field, the following contract disputes are also increasing day by day, in order to provide sufficient theoretical basis for judicial adjudication to deal with continuous contract cases. In theory, the study of continuous contract needs to be further studied. Due to the intervention of time factor and the strengthening of trust relationship, the continuous contract has many characteristics different from the temporary contract: first of all, the payment of the contract is continuous; Secondly, if the contractual relationship is not fixed and the performance is not terminated, it can continue infinitely; the most important thing is that the length of time is decisive to the content and scope of the total payment. Accordingly, there are many differences between the continuous contract and the temporary contract in the application of the law, such as the invalidity of the contract, the validity after cancellation and termination, the exercise of the right of defense and the commencement of the statute of limitations, and so on. This paper will discuss these problems on the basis of reasonable definition of succession contract. The full text is mainly divided into five parts: first of all, by introducing the different viewpoints of German, Taiwan and mainland scholars on the definition of the concept of continuous contract, this paper summarizes the concept and characteristics of continuous contract. In order to further analyze the specific system of succession contract to establish a scientific and reasonable logical starting point. Secondly, it clarifies the type of continuous contract, according to the basis of the obligation of continuous payment of the contract and the different forms of expression, the continuous contract is divided into the inherent continuous contract and the continuous supply contract. The controversial contract types are analyzed in order to clarify their nature. Thirdly, by deeply studying the essence of the continuous contract, and by refuting the contrary opinion, it is further clear that the essence of the continuous contract is that the scope of the total payment depends on the length of the payment time. This paper also discusses the concrete embodiment of this essence in different types of continuous contracts, in order to form a clearer and complete understanding of the continuous contracts. Then, it focuses on the status of continuous contract in the modern contract law system and the legislative technology of continuous contract in the system of contract law, and then finds out the inconsistency between continuous contract and modern contract law theory, so as to find the target for the solution of the problem. Finally, some suggestions are put forward to improve the relevant legal system of continuous contract. On the one hand, through reviewing the relevant legal system in foreign countries, especially in Germany, this paper puts forward the legislative conception to solve the problem, in order to provide theoretical support for the perfection of the law; On the other hand, by using the method of legal hermeneutic, this paper tries to make a systematic and logical interpretation of the relevant provisions in the existing legislative framework, in order to provide a feasible way of interpretation for judicial practice.
