國際貨物買賣合同形式——對《CISG》第11條保留與《合同法》適用沖突的思考

Format of contract for the international sale of goods is the uniform expression of the will of both parties.With the development of China's economy and change in her legal systems,specification of format of contract for the international sale of goods has also changed from compulsory written form to one which respects the will of both parties.However,the reservation of ART.11 of the《CISG》still exists ,which is not in compliance with the format of contract for international sale of goods as stipulated in the present Contract Law.By elaborating on the impact of the format of contract for international sale of goods and the relevant regulations concerning the national laws and international conventions,this paper emphatically analyzes the conflict between 《CISG》and China's Contract Law,putting forward suggestions for the settlement of this problem so as to keep in line with international practice.
