【摘要】：提單是國(guó)際貿(mào)易和海上貨物運(yùn)輸?shù)闹匾獑巫C之一。隨著現(xiàn)代航運(yùn)的快速化，傳統(tǒng)紙面提單相對(duì)于現(xiàn)實(shí)的發(fā)展逐漸顯示出滯后性，與快速運(yùn)輸?shù)男枨蟛幌噙m應(yīng)，實(shí)踐中關(guān)于提單的糾紛越來越多。電子提單順應(yīng)現(xiàn)代航運(yùn)發(fā)展的需要，在未來的國(guó)際貿(mào)易中取代傳統(tǒng)提單是必然的趨勢(shì)。國(guó)際社會(huì)以及各國(guó)對(duì)于電子提單的立法也進(jìn)行了諸多的嘗試，，以期從法律層面規(guī)范電子提單的發(fā)展。 從《漢堡規(guī)則》、《維斯比規(guī)則》到《鹿特丹規(guī)則》等電子提單的相關(guān)國(guó)際立法，從SeaDocs、CMI到最新的Bolero系統(tǒng)對(duì)電子提單進(jìn)行的商業(yè)實(shí)踐，電子提單在國(guó)際貨物運(yùn)輸中發(fā)揮著越來越重要的作用。 文章分為五個(gè)部分。第一部分從提單以及電子提單的定義、電子提單的商業(yè)實(shí)踐、相關(guān)的國(guó)際立法和我國(guó)對(duì)于電子提單立法的規(guī)定，比較電子提單相對(duì)于傳統(tǒng)提單的優(yōu)勢(shì)并對(duì)電子提單的發(fā)展前景予以展望。 第二部分將對(duì)電子提單的簽發(fā)和流轉(zhuǎn)所面臨的法律問題，電子提單可轉(zhuǎn)讓性以及轉(zhuǎn)讓的法律效力做出研究。 第三部分從提單電子化的方面論述電子提單代替?zhèn)鹘y(tǒng)提單過程中的法律問題的解決，電子提單怎樣實(shí)現(xiàn)傳統(tǒng)提單的貨物收據(jù)屬性、物權(quán)憑證屬性和運(yùn)輸合同屬性三大功能。 第四部分論述國(guó)際以及我國(guó)對(duì)于電子提單在訴訟中作為證據(jù)的相關(guān)立法，電子證據(jù)在訴訟中遇到的困難和法律問題的解決。 最后研究最新的《鹿特丹規(guī)則》并結(jié)合我國(guó)現(xiàn)階段的立法現(xiàn)狀，吸收國(guó)外的成熟立法經(jīng)驗(yàn)，對(duì)于我國(guó)電子提單發(fā)展的前景提出創(chuàng)新性的建議，以期對(duì)我國(guó)電子提單的應(yīng)用和發(fā)展有所裨益。
[Abstract]:Bill of lading is one of the most important documents in international trade and carriage of goods by sea. With the rapid development of modern shipping, the development of traditional paper bill of lading gradually shows lag compared with reality, which is not suitable for the demand of rapid transportation, and there are more and more disputes about bill of lading in practice. Electronic bill of lading meets the needs of the development of modern shipping. It is an inevitable trend to replace the traditional bill of lading in the future international trade. In order to standardize the development of electronic bill of lading, the international community and other countries have made many attempts to regulate the legislation of electronic bill of lading. International legislation on electronic bills of lading from Hamburg rules, Visby rules to Rotterdam rules, commercial practice of electronic bills of lading from SeaDocs,CMI to the latest Bolero system, Electronic bill of lading plays a more and more important role in international cargo transportation. The article is divided into five parts. The first part is about the definition of bill of lading and electronic bill of lading, the commercial practice of electronic bill of lading, the relevant international legislation and the legislation of electronic bill of lading in our country. Compare the advantage of electronic bill of lading with traditional bill of lading and prospect the development of electronic bill of lading. The second part will study the legal problems of the issuance and circulation of the electronic bill of lading, the transferability of the electronic bill of lading and the legal effect of the transfer. The third part discusses how to solve the legal problems in the process of electronic bill of lading replacing the traditional bill of lading from the aspect of electronic bill of lading, how to realize the property of goods receipt, the attribute of document of title and the attribute of contract of carriage of the traditional bill of lading. The fourth part discusses the international and our country to the electronic bill of lading in the litigation as evidence of the relevant legislation, electronic evidence in the proceedings encountered difficulties and legal problems. Finally, by studying the latest Rotterdam rules and combining the current legislative situation of our country and absorbing the mature legislative experience of foreign countries, the author puts forward some innovative suggestions on the prospect of the development of electronic bill of lading in China. The purpose is to benefit the application and development of electronic bill of lading in China.
