【摘要】：雙邊投資協(xié)定通常僅適用于東道國境內(nèi)的投資,故"境內(nèi)"范圍是國際投資仲裁庭認(rèn)定具體的投資行為及投資者是否受該協(xié)定保護(hù)的關(guān)鍵�；ヂ�(lián)網(wǎng)金融模式的興起使跨境金融投資趨于虛擬化、分散化、便利化,為準(zhǔn)確界定投資是否位于境內(nèi)帶來挑戰(zhàn)。文章以國際投資仲裁庭近年相關(guān)案例為基礎(chǔ),總結(jié)跨境金融投資中界定"境內(nèi)"的解釋路徑,分析其中反映出的仲裁庭約束管轄權(quán),平衡東道國主權(quán)權(quán)力和投資者私人利益的趨勢。為有效推動(dòng)國內(nèi)企業(yè)"走出去",保護(hù)投資企業(yè)海外資產(chǎn),建議我國政府完善外商投資法律體系中的"境內(nèi)"定義,我國企業(yè)應(yīng)準(zhǔn)確把握國際投資規(guī)則,謹(jǐn)慎對待與投資東道國協(xié)議中的約定。
[Abstract]:Bilateral investment agreements usually apply only to investments in the host country, so the scope of "territory" is the key for the international investment tribunal to determine the specific investment conduct and whether the investor is protected by the agreement. The rise of Internet financial model makes cross-border financial investment become virtualized, decentralized and facilitated, which brings challenges to the accurate definition of whether investment is located in China. Based on the relevant cases of the International Investment Arbitration Tribunal in recent years, this paper summarizes the interpretation of the definition of "territory" in cross-border financial investment, and analyzes the binding jurisdiction of the arbitration tribunal reflected therein. Balancing the sovereign power of the host country with the private interests of investors. In order to effectively promote the "going out" of domestic enterprises and protect the overseas assets of investment enterprises, it is suggested that our government should perfect the definition of "territory" in the legal system of foreign investment, and that Chinese enterprises should accurately grasp the rules of international investment. Be careful with the agreement with the host country.
