【摘要】：選擇ICSID仲裁已經(jīng)成為通行的國(guó)際投資爭(zhēng)議解決方式。ICSID公約第25條(2)(b)為擴(kuò)大公約的屬人效力范圍,賦予具有外國(guó)控制因素的東道國(guó)法人投資者以另一締約國(guó)國(guó)籍,但公約本身對(duì)法人東道國(guó)國(guó)籍的認(rèn)定、外國(guó)控制的形式和程度,以及功能性國(guó)籍協(xié)議的具體表現(xiàn)形式等付之闕如,學(xué)者學(xué)說和ICSID仲裁實(shí)踐歧異紛呈。法人投資者的東道國(guó)國(guó)籍應(yīng)當(dāng)依據(jù)東道國(guó)國(guó)內(nèi)法及相關(guān)國(guó)際條約予以認(rèn)定,而其功能性國(guó)籍則需滿足ICSID公約的客觀標(biāo)準(zhǔn),功能性國(guó)籍協(xié)議并不限于明示的書面形式。
[Abstract]:Article 25 (2) (b) of the ICSID Convention expands the scope of personal effect of the Convention by granting the nationality of another Contracting State to the legal person investor of the host country with foreign control factors, but the Convention itself recognizes the nationality of the host country of the legal person, the form and degree of foreign control, and For example, there are divergences between scholars'theories and ICSID arbitration practice. The nationality of the host country of a legal person investor should be determined according to the domestic law of the host country and relevant international treaties, while its functional nationality should meet the objective standards of ICSID convention.
