非洲示范投資法述評(píng)

【摘要】:2003年世界投資報(bào)告顯示,在廣大非洲國(guó)家內(nèi)部,有一些國(guó)家對(duì)外商投資者具有比較大的吸引力,如安哥拉、阿爾及利亞、尼日利亞、乍得和突尼斯等國(guó)家。然而,從世界投資報(bào)告中,我們可以清楚地發(fā)現(xiàn),這些非洲國(guó)家僅僅只是極少數(shù),他們的成功不能改變整個(gè)非洲大陸在吸引外商直接投資領(lǐng)域的劣勢(shì)地位。根據(jù)2003年世界投資報(bào)告顯示,與發(fā)達(dá)國(guó)家和其他發(fā)展中國(guó)家相比,在20世紀(jì)50年代以后的幾十年中,廣大非洲國(guó)家對(duì)外商投資者的吸引力大大減小。以某些亞洲國(guó)家為例,20世紀(jì)50年代到70年代幾十年間,亞洲、非洲和太平洋地區(qū)對(duì)外商投資者具有同等吸引力。然而,從1980年到2003年,亞洲和太平洋地區(qū)對(duì)外商投資者的吸引力遠(yuǎn)遠(yuǎn)超過(guò)了非洲國(guó)家。甚至,如中國(guó)、中國(guó)香港、新加坡和馬來(lái)西亞這些國(guó)家和地區(qū),在不同的時(shí)間,一個(gè)國(guó)家或地區(qū)比整個(gè)非洲大陸吸引的對(duì)外直接投資的數(shù)量還要多。進(jìn)入20世紀(jì)90年代,非洲國(guó)家在吸引外商直接投資領(lǐng)域仍然只占很少的比例。2003年,以改善撒哈拉以南非洲國(guó)家的投資法律環(huán)境為目標(biāo),促進(jìn)非洲投資法律一體化,法律專(zhuān)家們經(jīng)過(guò)不斷努力,通過(guò)了一部非洲示范投資法。在非洲歷史上,由于種種原因,非洲以往的投資法都失敗了,非洲示范投資法在借鑒以往投資法遭遇失敗教訓(xùn)的基礎(chǔ)上,突破以往的思維模式,制定了一般性的示范投資法,該法適用于所有對(duì)非進(jìn)行投資的外商直接投資者和非洲國(guó)內(nèi)的私人投資者。對(duì)非洲示范投資法的重要條款進(jìn)行評(píng)析是本文的研究重點(diǎn),主要包括對(duì)非投資企業(yè)自主權(quán)的保障;非洲國(guó)家對(duì)外資實(shí)施國(guó)有化的保護(hù);對(duì)非投資爭(zhēng)議的解決和對(duì)非投資活動(dòng)的管制等內(nèi)容。其中,對(duì)非投資爭(zhēng)議的解決部分主要研究替代性糾紛解決機(jī)制,是示范投資法具有創(chuàng)新意義的重要條款。有關(guān)對(duì)非投資活動(dòng)的管制部分,是非洲示范投資法最具有創(chuàng)新意義和最大膽的規(guī)定,這一規(guī)定堅(jiān)決反對(duì)非洲國(guó)家的投資腐敗,并且不考慮任何商業(yè)目的,具有研究?jī)r(jià)值。研究非洲示范投資法的具體條款,是了解和進(jìn)一步完善非洲示范投資法的基礎(chǔ),也有助于修改和完善我國(guó)外資立法。
[Abstract]:The 2003 World Investment report shows that some African countries are attractive to foreign investors, such as Angola, Algeria, Nigeria, Chad and Tunisia. However, from the World Investment report, we can clearly see that these African countries are only a very small number of countries and their success cannot change the inferior position of the whole African continent in attracting foreign direct investment (FDI). According to the World Investment report 2003, compared with the developed countries and other developing countries, in the decades after the 1950s, the attraction of the vast number of African countries to foreign investors has been greatly reduced. In some Asian countries, for example, in the 1950s and 1970s, Asia, Africa and the Pacific were equally attractive to foreign investors. From 1980 to 2003, however, Asia and the Pacific were far more attractive to foreign investors than African countries. Even in countries such as China, Hong Kong, Singapore and Malaysia, at different times, one country or region attracts more foreign direct investment than the entire African continent. In the 1990s, African countries still accounted for only a small proportion in attracting foreign direct investment. In 2003, the goal was to improve the legal environment for investment in sub-Saharan Africa and to promote the integration of investment laws in Africa. Through constant efforts, legal experts adopted an African model investment law. In the history of Africa, due to various reasons, previous investment laws in Africa have all failed. On the basis of drawing lessons from the failure of previous investment laws, the African Model Investment Law has broken through the previous thinking pattern and formulated a general model investment law. The Act applies to all foreign direct investors in Africa and private investors in Africa. The evaluation of the important provisions of the African Model Investment Law is the focus of this paper, including the guarantee of the autonomy of non-investment enterprises, the protection of the nationalization of foreign investment in African countries, and the protection of foreign investment in Africa. The settlement of non-investment disputes and the regulation of non-investment activities. Among them, the non-investment dispute resolution part mainly studies the alternative dispute resolution mechanism, is the model investment law has the innovation significance important clause. The regulation of non-investment activities is the most innovative and bold provision of the African Model Investment Law, which is firmly opposed to investment corruption in African countries and has research value without considering any commercial purpose. The study of the specific terms of the African Model Investment Law is the basis of understanding and further improving the African Model Investment Law, and is also helpful to the revision and improvement of China's foreign investment legislation.
