【摘要】：國際金融組織貸款是我國利用外資并與世界相聯(lián)系的一個(gè)重要途徑,以世界銀行為代表的國際金融組織在一定程度上對(duì)我國的經(jīng)濟(jì)發(fā)展和社會(huì)進(jìn)步起到了推動(dòng)作用。我國作為借用國際金融組織貸款比較多的國家,除了對(duì)外的溝通和談判之外,國內(nèi)的政策和程序構(gòu)建也十分重要。本文著眼于國際金融組織對(duì)華貸款的國內(nèi)轉(zhuǎn)貸問題,在介紹現(xiàn)行的轉(zhuǎn)貸流程并梳理國內(nèi)相關(guān)法律規(guī)定的基礎(chǔ)上,對(duì)國際金融組織貸款的轉(zhuǎn)貸中存在的問題進(jìn)行分析,給出制度構(gòu)建和法規(guī)修訂方面的合理建議。此外,本文亦關(guān)注實(shí)踐中有關(guān)國際金融組織轉(zhuǎn)貸款的爭議解決問題,通過對(duì)已有案例的分析,歸納出轉(zhuǎn)貸中政府部門、轉(zhuǎn)貸行以及項(xiàng)目單位為避免爭議或合法維護(hù)自身權(quán)益所應(yīng)注意的事項(xiàng),并對(duì)司法機(jī)關(guān)的案件審理給出建議。 本文分為五個(gè)部分。第一章主要介紹國際金融組織貸款,包括對(duì)國際金融組織的介紹、對(duì)國際金融組織貸款特點(diǎn)的分析和對(duì)國際金融組織貸款基本法律文件的梳理。第二章在追溯我國借用國際金融組織貸款的基礎(chǔ)上,對(duì)我國借用國際金融組織貸款的內(nèi)部和外部程序進(jìn)行總結(jié)。第三章為本文重點(diǎn),詳細(xì)分析我國借用國際金融組織貸款的國內(nèi)轉(zhuǎn)貸問題,包括對(duì)概念的澄清、對(duì)實(shí)踐的總結(jié)和對(duì)諸多法律問題的探討。第四章為案例分析,在對(duì)兩個(gè)典型案例詳細(xì)介紹的基礎(chǔ)上,筆者將對(duì)其中關(guān)鍵問題進(jìn)行分析并給出建議。最后是結(jié)論。
[Abstract]:The loan of international financial organization is an important way for our country to utilize foreign capital and connect with the world. To some extent, the international financial organization, represented by the World Bank, has played an important role in promoting China's economic development and social progress. As a country that borrows more loans from international financial organizations, it is also very important to construct domestic policies and procedures in addition to external communication and negotiation. This paper focuses on the domestic transfer of loans from international financial organizations to China. On the basis of introducing the current transfer process and combing the relevant domestic laws and regulations, this paper analyzes the problems existing in the transfer of loans from international financial organizations. Reasonable suggestions on system construction and revision of laws and regulations are given. In addition, this article also pays close attention to the dispute settlement of international financial organizations' transfer loan in practice. Through the analysis of the existing cases, it concludes the government departments in the transfer loan. The transfer bank and the project unit should pay attention to avoid disputes or legally defend their own rights and interests, and give suggestions to the judicial organs in the trial of cases. This paper is divided into five parts. The first chapter mainly introduces the loan of the international financial organization, including the introduction of the international financial organization, the analysis of the characteristics of the loan of the international financial organization and the combing of the basic legal documents of the loan of the international financial organization. The second chapter summarizes the internal and external procedures of borrowing loans from international financial organizations on the basis of tracing back to China's loans to international financial organizations. The third chapter is the focus of this paper. It analyzes the domestic loan transfer problem of international financial organizations in China in detail, including the clarification of the concept, the summary of practice and the discussion of many legal issues. The fourth chapter is case analysis. Based on the detailed introduction of two typical cases, the author will analyze the key problems and give some suggestions. Finally is the conclusion.
