【摘要】：海峽兩岸關系深入發(fā)展,雙向投資等貿(mào)易活動非常活躍。在《海峽兩岸經(jīng)濟合作框架協(xié)議》基礎上,構建兩岸投資保障的法律機制已是現(xiàn)實訴求。文章先從解析現(xiàn)狀著手,指出大陸關于兩岸投資保障的法制建設具有階段性、臺灣關于兩岸投資保障法制建設具有滯后性以及兩岸投資保障協(xié)議的缺位的客觀現(xiàn)實。進一步指出及時構建海峽兩岸投資保障法律機制,可以有助于兩岸經(jīng)濟合作的規(guī)范化和制度化的建設,也有益于兩岸經(jīng)濟進一步地深入合作和共同發(fā)展,更有利于祖國和平統(tǒng)一大業(yè)的早日實現(xiàn)等突出的時代意義。文章采用比較研究方法,先后剖析了大陸與港澳CEPA模式、北美自由貿(mào)易協(xié)定、中國—東盟自由貿(mào)易區(qū)模式、WTO中的TRIMs中關于的投資保障法律機制的經(jīng)驗,尋求其對兩岸投資保法律機制的啟示。文章認為須在恪守“一個中國”的政治理念,清楚海峽兩岸關系的特殊性,認知海峽兩岸關系的復雜性的基礎上,構建海峽兩岸的投資保障法律機制。提出構建兩岸投資保障機制可采取早日協(xié)商簽署兩岸投資保障協(xié)議、采用國民待遇和最惠國待遇、肯定投資利潤的轉(zhuǎn)移、建立具有兩岸特色的投資爭端解決和仲裁機制、提高法律法規(guī)透明度等具體措施。
[Abstract]:Cross-straits relations have developed in depth, and bilateral investment and other trade activities have been very active. On the basis of the Framework Agreement on Economic Cooperation between the two sides of the Taiwan Strait, it is a realistic demand to construct a legal mechanism for investment protection between the two sides of the strait. The article begins with the analysis of the present situation and points out that the mainland's legal construction on cross-strait investment security has stages, and Taiwan's legal construction on cross-strait investment security has lag and the objective reality of the absence of cross-strait investment guarantee agreement. It is further pointed out that the timely establishment of a legal mechanism for cross-strait investment protection can contribute to the standardization and institutionalization of cross-strait economic cooperation, and is also conducive to further in-depth cooperation and common development of the cross-strait economy. More conducive to the motherland's peaceful reunification of the great cause of early realization and other prominent significance of the times. By using the method of comparative study, this paper analyzes the experience of the legal mechanism of investment protection in the TRIMs of the mainland, Hong Kong and Macao, North American Free Trade Agreement and China-ASEAN Free Trade area. Seeking its enlightenment to the legal mechanism of cross-strait investment protection. The article holds that the legal mechanism of investment guarantee should be constructed on the basis of adhering to the political concept of "one China", making clear the particularity of cross-strait relations and recognizing the complexity of cross-strait relations. It is proposed that the establishment of a cross-strait investment guarantee mechanism may include early consultation and signing of cross-strait investment guarantee agreements, adoption of national treatment and most-favored-nation treatment, affirmation of the transfer of investment profits, and establishment of an investment dispute settlement and arbitration mechanism with cross-strait characteristics. Improve the transparency of laws and regulations and other specific measures.
