【摘要】：商事慣例基于何種理由對(duì)商事交易當(dāng)事人產(chǎn)生約束力是理論上頗有爭議的問題�！秶H貨物銷售合同公約》第9條第2款關(guān)于慣例適用依據(jù)的規(guī)定是模糊的。實(shí)際上,該款條件的滿足并不需要當(dāng)事人對(duì)慣例適用的同意,在缺乏當(dāng)事人同意的情況下,慣例仍能適用。再者,適用國際商事慣例的司法和仲裁實(shí)踐直接忽略了該款中易于產(chǎn)生干擾的主觀條件,使得國際商事慣例只要滿足客觀條件就具有約束力,更直觀地展示了商事慣例的規(guī)范性效力。
[Abstract]:The reason on which commercial usages are binding on the parties to a commercial transaction is theoretically controversial. Article 9, paragraph 2, of the Convention on contracts for the International Sale of goods is vague as to the basis for the application of the usages... in practice, The fulfilment of the conditions in this paragraph does not require the consent of the parties to the application of the practice, which can still be applied in the absence of the consent of the parties... furthermore, The judicial and arbitration practice of applying international commercial usages directly ignores the subjective conditions which are prone to interference in this paragraph, which makes the international commercial usages binding as long as they meet the objective conditions and more intuitively show the normative effect of commercial usages.
