可再生能源投資中東道國的監(jiān)管權(quán)研究

【摘要】:進(jìn)入21世紀(jì)以來,隨著經(jīng)濟(jì)的增長,科技的進(jìn)步,可持續(xù)發(fā)展理念的要求,可再生能源行業(yè)吸引了大量的投資?稍偕茉闯蔀閲H投資發(fā)展的新興領(lǐng)域之一,實(shí)踐的發(fā)展需要理論知識(shí)的支撐,因此研究可再生能源國際投資法律問題是國家發(fā)展的現(xiàn)實(shí)要求。與常規(guī)能源相比,吸引外國投資者對(duì)可再生能源領(lǐng)域進(jìn)行投資的往往是東道國提供的各種激勵(lì)性措施,尤其是在稅收、政策、法律制度上對(duì)可再生能源投資提供的各種優(yōu)惠。但隨著投資的做出,東道國基于各種原因行使監(jiān)管權(quán)對(duì)可再生能源領(lǐng)域進(jìn)行調(diào)整,這些措施一定程度上減損了投資者的利益,給其造成了損失,由此引發(fā)了關(guān)于東道國行使監(jiān)管權(quán)問題的討論。東道國監(jiān)管權(quán),是指東道國對(duì)其國內(nèi)事務(wù)進(jìn)行干預(yù)和監(jiān)管的權(quán)利。聯(lián)合國大會(huì)第3281號(hào)決議《各國經(jīng)濟(jì)權(quán)利和義務(wù)憲章》中規(guī)定國家有權(quán)"在本國的管轄權(quán)范圍以內(nèi),對(duì)外國投資加以監(jiān)管并行使權(quán)利"。對(duì)于東道國監(jiān)管權(quán)問題的研究,在討論到與投資者利益保護(hù)的博弈之時(shí),國內(nèi)多數(shù)文章依據(jù)國際投資條約中的保護(hù)投資的表述,認(rèn)為應(yīng)側(cè)重保護(hù)投資者,但可再生能源投資作為一種關(guān)乎能源安全的投資,若也采用這種利益衡量標(biāo)準(zhǔn)可能會(huì)危及到國家利益,因此需要在可再生能源的投資保護(hù)和東道國的監(jiān)管權(quán)之間進(jìn)行利益平衡。本文將旨在通過分析Charanne訴西班牙案中涉及的部分問題,對(duì)可再生能源投資因東道國的立法、政策、稅收等改變所引發(fā)的投資爭端問題進(jìn)行研究,并就公共利益和私人利益之間的平衡進(jìn)行討論,然后結(jié)合中國的實(shí)際情況提出建議。第一部分介紹可再生能源的投資情況及其法律框架,并介紹了學(xué)者們對(duì)東道國監(jiān)管權(quán)概念的不同觀點(diǎn),結(jié)合實(shí)踐中的案例尤其是Charanne訴西班牙案提出了可再生能源投資中國家的監(jiān)管權(quán)問題。第二部分分析國家監(jiān)管權(quán)與間接征收和公平與公正待遇之間的關(guān)系,并結(jié)合Charanne訴西班牙案進(jìn)行相關(guān)研究,對(duì)間接征收的認(rèn)定及公平與公正待遇的內(nèi)容進(jìn)行討論,并對(duì)投資者的合理期待做出限定。第三部分探討如何平衡東道國的監(jiān)管權(quán)和投資者的投資保護(hù)權(quán)之間的利益沖突問題,主要從完善投資條約中的立法規(guī)定和仲裁程序以及要求投資者承擔(dān)社會(huì)責(zé)任的角度進(jìn)行分析,提出相應(yīng)的建議,以求能在國家公共利益和投資者私人利益之間達(dá)成恰當(dāng)?shù)钠胶。第四部分介紹了中國的可再生能源投資現(xiàn)狀,并結(jié)合"一帶一路"的背景,分析中國在可再生能源投資中應(yīng)如何應(yīng)對(duì)可能遭遇的國家監(jiān)管權(quán)問題,主要從中國作為東道國和中國投資者兩個(gè)角度進(jìn)行分析,為維護(hù)國家主權(quán)和保護(hù)投資者的利益提出建議。
[Abstract]:Since 21th century, with the growth of economy, the progress of science and technology, and the requirement of the concept of sustainable development, the renewable energy industry has attracted a lot of investment. Renewable energy has become one of the emerging fields of international investment and development. The development of practice needs the support of theoretical knowledge. Therefore, it is a realistic requirement of national development to study the legal issues of international investment in renewable energy. Foreign investors are often attracted to investments in renewable energy by incentives offered by host countries, especially in tax, policy and legal systems. But with investment, The exercise of regulatory power by the host country in the area of renewable energy for a variety of reasons, which to some extent detracts from the interests of investors and results in losses, This has led to a discussion on the issue of the exercise of regulatory rights by host countries. The right of the host country to intervene in and regulate its domestic affairs. The Charter of Economic Rights and duties of States, contained in General Assembly resolution 3281 of the United Nations, provides that States have the right "within their jurisdiction", To regulate and exercise the right to foreign investment "... when discussing the game with the protection of the interests of investors in the study of the regulatory right of the host country, most of the domestic articles are based on the expression of the protection of investment in international investment treaties. Considering that emphasis should be placed on the protection of investors, but that investment in renewable energy as an investment in energy security may endanger national interests if such measures of interest are also applied, Therefore, it is necessary to balance the interests between the investment protection of renewable energy and the regulatory right of the host country. Research into investment disputes arising from changes such as taxation, and discussion of the balance between public and private interests, The first part introduces the investment situation of renewable energy and its legal framework, and introduces the different views of scholars on the concept of host country regulatory right. Combined with the practical case, especially Charanne v. Spain, this paper puts forward the issue of the regulatory power of the state in the investment of renewable energy. The second part analyzes the relationship between the national regulatory power and the indirect expropriation and fair and just treatment. In combination with Charanne v. Spain, this paper discusses the determination of indirect expropriation and the content of fair and just treatment. The third part discusses how to balance the conflict of interest between the host country's regulatory right and the investor's investment protection right. Mainly from the perspective of perfecting the legislative provisions and arbitration procedures in investment treaties and requiring investors to bear social responsibility, the paper puts forward corresponding suggestions. In order to strike an appropriate balance between the national public interest and the private interests of investors. Part 4th introduces the current situation of renewable energy investment in China, and combines the background of "Belt and Road". This paper analyzes how China should deal with the possible problems of state supervision in renewable energy investment, mainly from the perspectives of China as the host country and Chinese investors, and puts forward some suggestions for safeguarding national sovereignty and protecting the interests of investors.
