【摘要】：世界范圍內(nèi)的大型項(xiàng)目在不斷增多。國際項(xiàng)目融資是其主要融資方式。國際項(xiàng)目融資中存在著諸多風(fēng)險(xiǎn),其中商業(yè)風(fēng)險(xiǎn)是主要風(fēng)險(xiǎn)。對于商業(yè)風(fēng)險(xiǎn)的防范的途徑之一就是擔(dān)保。擔(dān)保分為積極擔(dān)保和消極擔(dān)保,這是從正反兩個(gè)方面對國際項(xiàng)目融資中的商業(yè)風(fēng)險(xiǎn)的防范。積極擔(dān)保有信用擔(dān)保和物權(quán)擔(dān)保等形式,而消極擔(dān)保則是借款人向貸款人保證不從事某行為的否定性保證。本文將主要探討國際項(xiàng)目融資的浮動抵押中的消極擔(dān)保。 本文包含引言、正文和結(jié)語三部分。其中正文分為五章。 第一章主要介紹了國際項(xiàng)目融資的發(fā)展情況及融資中的風(fēng)險(xiǎn)。 第二章主要是對國際項(xiàng)目融資中風(fēng)險(xiǎn)防范措施之一的擔(dān)保進(jìn)行了簡要分析。 第三章主要是對國際項(xiàng)目融資擔(dān)保中與浮動抵押相關(guān)的消極擔(dān)保的效力、適用范圍及救濟(jì)方式的闡述。 第四章對比了各國在國際項(xiàng)目融資中消極擔(dān)保的相關(guān)實(shí)踐。 第五章分析了我國消極擔(dān)保的相關(guān)實(shí)踐和制度,并提出了對于消極擔(dān)保的立法建議。
[Abstract]:The number of large-scale projects is increasing all over the world. International project financing is the main way of financing. There are many risks in international project financing. The commercial risk is the main risk. One of the ways to prevent the commercial risk is the guarantee. The guarantee is divided into positive guarantee and negative guarantee. This is to guard against commercial risks in international project financing from both positive and negative aspects. Active guarantees are in the form of credit guarantees and security interests. Negative guarantee is the negative guarantee that the borrower guarantees the lender not to engage in certain behavior. This paper will mainly discuss the negative guarantee in floating charge of international project financing. This paper includes three parts: introduction, text and conclusion, in which the text is divided into five chapters. The first chapter mainly introduces the development of international project financing and the risks in financing. The second chapter mainly analyzes the guarantee which is one of the risk prevention measures in international project financing. The third chapter mainly expounds the validity, scope of application and relief of the negative guarantee related to floating charge in the international project financing guarantee. Chapter 4th compares the practice of negative guarantee in international project financing. Chapter 5th analyzes the relevant practice and system of negative guarantee in China, and puts forward some legislative suggestions for negative guarantee.
