國際海運(yùn)中無單放貨的法律問題研究

【摘要】: 在國際海運(yùn)中,提單發(fā)展到今天已經(jīng)成為在國際貿(mào)易的買賣、運(yùn)輸、結(jié)算全過程中都起著積極作用的單據(jù)。也正是通過憑正本提單議付結(jié)匯和提取貨物,才使整個(gè)國際經(jīng)濟(jì)貿(mào)易既具有安全性又具有效率性。無單放貨是指負(fù)有憑單交貨義務(wù)的承運(yùn)人或代理人,貨物監(jiān)管人沒有憑正本提單而交付該提單下的貨物的行為。無單放貨產(chǎn)生的海運(yùn)糾紛擾亂了國際海運(yùn)的秩序,而司法界,學(xué)術(shù)界對無單放貨行為的法律定性和相關(guān)問題的認(rèn)識(shí)一直存在爭議,這勢必會(huì)影響國際貿(mào)易和航運(yùn)事業(yè)的發(fā)展。因此,對無單放貨的研究實(shí)屬必要,本文擬選出幾個(gè)主要方面進(jìn)行研究,其中正文共有四章構(gòu)成。 第一章從國際海運(yùn)無單放貨的概念的提出分析了承運(yùn)人無單放貨的含義和特征,并且概述了承運(yùn)人無單放貨的產(chǎn)生原因。 第二章首先論述關(guān)于無單放貨行為法律定性的理論界的爭議與實(shí)務(wù)界的各種觀點(diǎn),然后提出提單所具有的特殊性能,集物權(quán)憑證和債權(quán)證券于一身的屬性決定了其行為不能統(tǒng)一定性,應(yīng)根據(jù)具體情況從邏輯上可能構(gòu)成的責(zé)任屬性上加以分析。無單放貨在一般情況下構(gòu)成違約,但在有些情況下則構(gòu)成侵權(quán)甚或違約與侵權(quán)的競合。 第三章從分析國際海運(yùn)無單放貨的法律責(zé)任形式入手,研究無單放貨的責(zé)任承擔(dān)問題以及關(guān)于無單放貨責(zé)任的法律救濟(jì)途徑。 第四章主要是針對無單放貨的泛濫,提出減少無單放貨的幾種有效途徑,以及對無單放貨法律問題的思考,并圍繞著無單放貨的法律問題,從立法和司法兩個(gè)角度進(jìn)行研究,以期完善提單的法律制度,從而促進(jìn)國際貿(mào)易和航運(yùn)業(yè)的發(fā)展。
[Abstract]:In the international shipping, bill of lading has become a positive document in the whole process of trading, transportation and settlement of international trade. It is also through the original bill of lading negotiation and delivery of goods. To make the whole international economy and trade both safe and efficient. The delivery of goods without documents refers to the carrier or agent who has the obligation to deliver goods by voucher. The act of a cargo supervisor not delivering the goods under the bill of lading without delivery of the original bill of lading. Maritime disputes arising from the release of goods without a bill of lading disturb the order of international shipping and the judiciary. There have been disputes in academic circles on the legal nature of undocumented delivery and related issues, which will inevitably affect the development of international trade and shipping. Therefore, it is necessary to study the undocumented delivery of goods. This article chooses several main aspects to carry on the research, in which the body has four chapters to constitute. The first chapter analyzes the meaning and characteristics of the carrier's delivery of goods without a bill of lading from the point of view of the concept of international shipping without bill of lading, and outlines the reasons for the carrier's delivery of goods without bill of lading. The second chapter firstly discusses the disputes and various viewpoints of the theoretical circle about the legal characterization of the undocumented delivery of goods, and then puts forward the special performance of the bill of lading. The property of property right certificate and creditor's right securities determine that its behavior can not be unified qualitative, should be analyzed according to the specific situation from the responsibility attribute that may be formed logically. The delivery of goods without bill constitutes a breach of contract under general circumstances. But in some cases it constitutes infringement or even breach of contract and infringement of the competing. The third chapter begins with the analysis of the legal liability form of international shipping without bill of lading, and studies the problem of liability and the way of legal remedy about the liability of delivery of goods without bill of lading. Chapter 4th is mainly aimed at the flood of non-bill delivery, puts forward several effective ways to reduce the non-bill delivery, as well as thinking about the legal issues of non-bill delivery, and revolves around the legal issue of non-bill delivery. In order to perfect the legal system of bill of lading and promote the development of international trade and shipping industry, this paper makes a study from the angle of legislation and judicature.
