【摘要】：正外商投資的公司與內(nèi)資公司的雙軌制以及外商投資企業(yè)法與公司法的并行是中國現(xiàn)行公司制度的一大特點。這一特點的形成自有其歷史和客觀的原因,但現(xiàn)實的并非就是合理的,這種特殊的制度結構是否應永久持續(xù),兩種公司并軌、兩法融合歸一的條件是否已經(jīng)成熟,這正是已經(jīng)啟動并正在進行的中國公司法修訂所要作出的分析和面臨的重要立法選擇。全面綜合的分析表明,雙軌和并行不過是歷史過程
[Abstract]:The two-track system of foreign-invested companies and domestic companies, as well as the parallelism of foreign-invested enterprise law and company law, are one of the characteristics of the current corporate system in China. The formation of this characteristic has its own historical and objective reasons, but the reality is not reasonable, whether this special institutional structure should last permanently, whether the two kinds of companies should be merged, and whether the conditions for the integration and unification of the two laws have been matured, which is the analysis to be made and the important legislative choice to be faced with the revision of China's Company Law, which has been initiated and is under way. A comprehensive and comprehensive analysis shows that two tracks and parallelism are just historical processes.
