【摘要】：日本公司法規(guī)制公司分紅由關(guān)注行為形式轉(zhuǎn)換為關(guān)注行為的財(cái)產(chǎn)流出實(shí)質(zhì),并在股東自治、債權(quán)人保護(hù)和股東平等的理念指引下平衡協(xié)調(diào)相關(guān)制度,吸收國(guó)外經(jīng)驗(yàn)的同時(shí)注重本土化改造制定出有日本特色公司分紅規(guī)制制度,為我國(guó)規(guī)范公司分紅行為、完善公司法制提供了有效的實(shí)踐經(jīng)驗(yàn)。
[Abstract]:The Company's dividend is converted into the substance of the property from the form of interest to the behavior of interest, and the relevant system is balanced under the principle of the autonomy of the shareholders, the protection of the creditors and the equality of the shareholders. At the same time of absorbing foreign experience, we should pay more attention to the localization and reform to develop the system of dividend regulation of the company with the characteristics of Japan, and provide effective practical experience for our country to regulate the company's dividend behavior and improve the company's legal system.
