【摘要】：休眠公司是指被依法吊銷營業(yè)執(zhí)照、責(zé)令關(guān)閉或者被撤銷以后,沒有進(jìn)行清算,也不辦理注銷登記的公司。在《公司法》修改之前,由于我國法律對此類公司的規(guī)定尚不完善,此類公司引發(fā)的逃避債務(wù),從事非法經(jīng)營等現(xiàn)象比較突出。如何對休眠公司正確定性,以減少實踐中的各種不法行為,保護(hù)債權(quán)人的合法權(quán)益,是一個亟待解決的法律問題。2006年《公司法》修改之后,增加了一些有關(guān)休眠公司的規(guī)定,部分填補(bǔ)了這一法律空白。本文擬從理論上對休眠公司的民法地位問題進(jìn)行分析,明確這類公司在法律上應(yīng)具有的權(quán)利能力和行為能力范圍。
[Abstract]:Dormant company refers to the company that has not been liquidated or cancelled after it has been revoked its business license in accordance with the law and ordered it to be closed or revoked. Before the revision of the Company Law, because the provisions of the law of our country on this kind of company are not perfect, the phenomenon of evading debt and engaging in illegal operation caused by this kind of company is more prominent. How to correctly characterize dormant companies in order to reduce all kinds of illegal acts in practice and protect the legitimate rights and interests of creditors is an urgent legal problem to be solved. After the revision of the Company Law in 2006, some provisions on dormant companies have been added, which partly filled in this legal gap. This paper intends to analyze the civil law status of dormant companies theoretically and clarify the scope of legal rights and behavioural capabilities of this kind of companies.
