公司僵局法律問題的研究

【摘要】:在市場經(jīng)濟下,公司作為經(jīng)濟生活的組成單元之一肩負著重要的歷史使命,公司好則社會穩(wěn)定,公司亂則社會動蕩。但在日常經(jīng)營管理中,會出現(xiàn)很多問題,其中公司僵局問題尤為是人關(guān)注。本文在分析我國《公司法》中相關(guān)內(nèi)容的基礎(chǔ)上,通過比較各國的救濟方式,論述了公司僵局的內(nèi)涵,即當(dāng)封閉公司的股東或董事發(fā)生對峙的局面時,公司運轉(zhuǎn)失靈甚至癱瘓的情況,以及特征、分類,并分析得出了解決途徑,包括事前預(yù)防和事后救濟兩大類方法,事前預(yù)防又包括買賣協(xié)議、主席關(guān)鍵票、董事會人數(shù)為單;事后救濟又包括司法解散、強制股權(quán)收購、強制公司分立、任命臨時董事。這些方法有的是我國已經(jīng)規(guī)定的,有的是從未涉及的,如何使用各種救濟手段是我們重點要解決的問題,本文圍繞著公司僵局的救濟展開了詳細的研究。
[Abstract]:Under the market economy, as one of the constituent units of economic life, the company shoulders an important historical mission. If the company is good, the society is stable, and the company is chaotic. However, in the daily management, there will be a lot of problems, especially the deadlock of the company. Based on the analysis of the relevant contents of the Company Law of our country, this paper discusses the connotation of corporate deadlock by comparing the relief methods of various countries, that is, when the shareholders or directors of closed companies face off. The failure or even paralysis of the company, as well as the characteristics, classification, and analysis of the solutions, including pre-prevention and ex post relief two categories of methods, including pre-prevention and trading agreements, the key votes of the chairman, the number of board of directors is single; Ex post facto relief includes judicial dissolution, compulsory equity acquisition, forced separation of companies, and appointment of temporary directors. Some of these methods have been stipulated in our country, some have never been involved, how to use all kinds of relief means is our key problem to solve, this paper focuses on the relief of corporate stalemate.
