【摘要】：公司設(shè)立實(shí)務(wù)中,驗(yàn)資不實(shí)的情形較為普遍,新公司法對(duì)公司驗(yàn)資不實(shí)的民事責(zé)任做出了規(guī)定,對(duì)于調(diào)整和規(guī)范公司驗(yàn)資不實(shí)的民事糾紛無疑有著積極作用。但是新公司法仍然較為粗疏,對(duì)于實(shí)務(wù)中諸多有爭(zhēng)議的問題,新公司法仍然未給出明確答案,未來仍需進(jìn)一步完善新公司法。
[Abstract]:In the practice of establishing a company, the false verification of capital is more common. The new company law stipulates the civil liability of the company for the false verification of capital, which undoubtedly plays a positive role in adjusting and standardizing the civil disputes of the false verification of the capital of the company. However, the new company law is still relatively careless, for many controversial issues in practice, the new company law has not yet given a clear answer, and the new company law still needs to be further improved in the future.
