【摘要】：歐盟委員會提出了《歐洲私法公司理事會條例草案》,這標志著歐盟在公司法統(tǒng)一化道路上再次邁出實質性的一步。歐洲私法公司將成為繼歐洲經濟利益集團、歐洲公司和歐洲合作社之后的第四種超國家公司形式。借助這一靈活而受歡迎的公司形式,歐盟希望能打破公司法統(tǒng)一進程在實務界遭受冷遇的現(xiàn)狀。對于打算在歐盟多個成員國以有限責任公司形式開展業(yè)務的中國投資者而言,歐洲私法公司也將是符合管理效率最大化原則的選擇。
[Abstract]:The draft Regulation of the Council of European Private Law companies was introduced by the European Commission, which marks another substantial step on the road of unification of the European Union's company law. Private European companies will become the fourth form of supranational company after European economic interests, European companies and European cooperatives. With the help of this flexible and popular form of company, the EU hopes to break with the fact that the process of unification of company law has suffered a cold shoulder in the field of practice. For Chinese investors who intend to operate as limited liability companies in EU member states, European private law companies will also be a choice in line with the principle of maximization of managerial efficiency.
