【摘要】：本文通過(guò)理論部分的論述,揭示了公司治理的本質(zhì)是公司權(quán)力在公司內(nèi)部的分配,公司的權(quán)利是公司權(quán)力的基礎(chǔ)和來(lái)源,公司權(quán)力是由公司法人機(jī)關(guān)行使的。并從公司權(quán)力的來(lái)源——財(cái)產(chǎn)權(quán)及其特征入手,指出實(shí)現(xiàn)公司法人財(cái)產(chǎn)權(quán)利的所對(duì)應(yīng)的權(quán)力就是公司的經(jīng)營(yíng)控制權(quán)。在此基礎(chǔ)上,通過(guò)國(guó)內(nèi)外公司權(quán)力分配的對(duì)比分析,得出了一個(gè)在我國(guó)公司法構(gòu)架下公司經(jīng)營(yíng)層剩余權(quán)力的分配框架。并以HC公司為研究對(duì)象,對(duì)其治理結(jié)構(gòu)及權(quán)力分配情況進(jìn)行了細(xì)致的調(diào)研,通過(guò)對(duì)HC公司實(shí)際運(yùn)行情況的綜合分析,認(rèn)真剖析了公司董事長(zhǎng)和總經(jīng)理在公司經(jīng)營(yíng)過(guò)程中的權(quán)力分配現(xiàn)狀、存在問題及原因,結(jié)合公司經(jīng)營(yíng)層剩余權(quán)力的分配框架,分析得出了適合HC公司自身發(fā)展的董事長(zhǎng)與總經(jīng)理權(quán)力分配的方案。
[Abstract]:Through the discussion of the theory part, this paper reveals that the essence of corporate governance is the distribution of corporate power within the company, the right of the company is the basis and source of the corporate power, and the corporate power is exercised by the corporate authority. Starting from the source of corporate power-property right and its characteristics, it is pointed out that the corresponding power to realize the property right of corporate person is the right of operation and control of the company. On this basis, through the comparative analysis of the distribution of power between domestic and foreign companies, a framework for the distribution of residual power in the management layer of the company under the framework of the company law of our country is obtained. Taking HC Company as the research object, this paper makes a detailed investigation on its governance structure and power distribution, and through the comprehensive analysis of the actual operation of HC Company, This paper analyzes the current situation, existing problems and reasons of the power distribution between the chairman and the general manager of the company in the course of operation, and combines with the distribution framework of the residual power in the management layer of the company. The distribution of power between the chairman and the general manager suitable for the development of HC Company is analyzed.
