【摘要】：企業(yè)集團的出現(xiàn)給傳統(tǒng)公司法中法人人格獨立原則帶來了挑戰(zhàn)。若放任集團中核心企業(yè)肆意控制其他成員企業(yè)的經(jīng)營,同時又僵化地賦予其完全的有限責(zé)任保護,那么對債權(quán)人的利益很可能會造成損害。因此,針對企業(yè)集團的特征建立一套合理的連帶責(zé)任制度,這對于現(xiàn)代公司法的理論探索來說,是一個不可回避的課題。
[Abstract]:The emergence of enterprise groups has brought challenges to the principle of legal personality independence in traditional corporate law. If the core enterprises of the group are allowed to control the operation of other member enterprises at will, and at the same time give them complete limited liability protection, the interests of creditors are likely to be damaged. Therefore, the establishment of a reasonable system of joint and several liability according to the characteristics of enterprise groups is an unavoidable issue for the theoretical exploration of modern company law.
