集體建設(shè)用地使用權(quán)出資可行性問(wèn)題研究

【摘要】:集體建設(shè)用地使用權(quán)是我國(guó)集體土地使用權(quán)中的一項(xiàng)重要權(quán)利。集體建設(shè)用地使用權(quán)可以作為出資是解決當(dāng)前農(nóng)村經(jīng)濟(jì)發(fā)展困境的重要前提之一。 目前,我國(guó)對(duì)于集體建設(shè)用地使用權(quán)是否可作為出資,雖有一些實(shí)踐基礎(chǔ),但多是依靠地方政策來(lái)調(diào)整和規(guī)范,相關(guān)法律法規(guī)很不完善,缺乏穩(wěn)定性和法律依據(jù)。本文在總結(jié)實(shí)踐經(jīng)驗(yàn)的基礎(chǔ)上,對(duì)現(xiàn)有法律法規(guī)進(jìn)行分析,對(duì)集體建設(shè)用地使用權(quán)出資問(wèn)題提出一些自己的看法。全文分為三個(gè)部分: 第一部分主要論述了集體建設(shè)用地使用權(quán)的一些基本問(wèn)題。首先闡述了集體建設(shè)用地使用權(quán)的概念,然后介紹了集體建設(shè)用地使用權(quán)的特征和分類,最后說(shuō)明了其出資意義。 第二部分主要是對(duì)集體建設(shè)用地使用權(quán)出資的可行性進(jìn)行分析。集體建設(shè)用地使用權(quán)是一種非貨幣財(cái)產(chǎn),我國(guó)《公司法》規(guī)定非貨幣財(cái)產(chǎn)出資必須滿足三個(gè)條件:一是可以評(píng)估;二是可以轉(zhuǎn)讓;三是不屬于法律、行政法規(guī)規(guī)定不可作為出資的財(cái)產(chǎn)。根據(jù)《公司法》對(duì)非貨幣財(cái)產(chǎn)出資的規(guī)定,第二部分著重對(duì)現(xiàn)有法律法規(guī)中涉及集體建設(shè)用地使用權(quán)出資的規(guī)定進(jìn)行分析,同時(shí)結(jié)合對(duì)集體建設(shè)用地使用權(quán)流轉(zhuǎn)試點(diǎn)中實(shí)踐經(jīng)驗(yàn)的總結(jié),從法律和實(shí)踐兩方面說(shuō)明集體建設(shè)用地使用權(quán)作為出資是具有可行性的。 最后一部分則提出了集體建設(shè)用地使用權(quán)在出資中存在的一些問(wèn)題及完善建議。集體建設(shè)用地使用權(quán)如若出資就必須解決其在評(píng)估、流轉(zhuǎn)和法律依據(jù)欠缺等方面存在的問(wèn)題。解決這些問(wèn)題需要明確集體土地所有權(quán)人、完善集體土地所有權(quán)權(quán)能和評(píng)估制度并建立健全相關(guān)法律法規(guī),使集體建設(shè)用地使用權(quán)在出資時(shí)有法可依。除此之外,在本部分還就集體建設(shè)用地使用權(quán)本身所具有的特性使其在出資過(guò)程中與公司法制度間產(chǎn)生的一些矛盾,如集體建設(shè)用地使用權(quán)的期限性、廣泛性和限定性分別與公司法人財(cái)產(chǎn)的永久性、股東人數(shù)的有限性、公司經(jīng)營(yíng)的自主性存在矛盾作了闡述。同時(shí),針對(duì)這些矛盾,筆者給出了一些解決的建議。 總之,集體建設(shè)用地使用權(quán)作為出資,將對(duì)規(guī)范農(nóng)村土地市場(chǎng)秩序,,完善集體土地所有權(quán)權(quán)能以及保護(hù)農(nóng)民利益,促進(jìn)農(nóng)村經(jīng)濟(jì)發(fā)展起到巨大作用。
[Abstract]:Collective construction land use right is an important right of collective land use right in our country. The use right of collective construction land is one of the important preconditions to solve the predicament of rural economic development. At present, although there are some practical foundations for the use of collective construction land in our country, most of them depend on local policies to adjust and standardize, and the relevant laws and regulations are not perfect, lacking of stability and legal basis. On the basis of summing up the practical experience, this paper analyzes the existing laws and regulations, and puts forward some views on the capital contribution of collective construction land use right. The paper is divided into three parts: the first part mainly discusses some basic problems of collective construction land use right. This paper first expounds the concept of collective construction land use right, then introduces the characteristics and classification of collective construction land use right, and finally explains its contribution significance. The second part mainly analyzes the feasibility of collective construction land use right investment. The right to use collective construction land is a kind of non-monetary property. The Company Law of our country stipulates that the capital contribution of non-monetary property must meet three conditions: first, it can be assessed; second, it can be transferred; Third, does not belong to the law, administrative rules and regulations can not be used as capital contribution property. In accordance with the provisions of the Company Law on the contribution of non-monetary property, the second part focuses on the analysis of the provisions of the existing laws and regulations concerning the investment of the right to use collective construction land. At the same time, combining with the summary of the practical experience in the circulation of collective construction land use right, it is feasible to use collective construction land use right as capital contribution from two aspects of law and practice. In the last part, some problems and suggestions of collective construction land use right in capital contribution are put forward. If collective construction land use right is invested, the problems existing in evaluation, circulation and lack of legal basis must be solved. To solve these problems, it is necessary to make clear the owner of collective land, perfect the power and evaluation system of collective land ownership, and establish and perfect relevant laws and regulations, so that the right to use collective construction land can be subject to law in the process of capital contribution. In addition, in this part, there are some contradictions between collective construction land use right and company law system, such as the term of collective construction land use right. This paper expounds the contradiction between extensiveness and limitation, the permanence of corporate property, the limited number of shareholders, and the autonomy of company management. At the same time, in view of these contradictions, the author gives some suggestions to solve them. In a word, the use right of collective construction land as capital contribution will play a great role in standardizing the order of rural land market, perfecting the power of collective land ownership, protecting the interests of farmers and promoting the development of rural economy.
