【摘要】：當前,現(xiàn)實中實質意義的一人公司和衍生型的一人公司大量存在,由此給我國社會主義市場經濟發(fā)展帶來了諸多不便,在學者的強烈呼吁下,國務院法制辦在《中華人民共和國公司法(修改草案)》(簡稱《草案》)中專設了一人有限責任公司的特別規(guī)定;公司資本制度是公司賴以生存和從事生產經營活動的物質基礎,而公司出資是建立良好的公司信用的前提和基礎,在對我國現(xiàn)行公司法出資規(guī)制進行反思的基礎上,針對一人公司的自身的特殊性,結合我國公司法的修改《草案》,就一人公司的出資相關問題提出個人的立法思考。
[Abstract]:At present, there are a large number of one-man companies and derivative one-man companies in reality, which bring a lot of inconvenience to the development of socialist market economy in our country, and under the strong appeal of scholars, The legal Office of the State Council has set up special provisions on one-person limited liability companies in the Company Law of the people's Republic of China (revised draft) (abbreviated as "draft"); The company capital system is the material foundation for the company to survive and engage in the production and management activities, and the company capital contribution is the premise and foundation of establishing good corporate credit. In view of the particularity of one-man company and the revision of our company law, the author puts forward personal legislative thinking on the related problems of one-man company's contribution.
