【摘要】：萬科控制權(quán)爭奪案,反映了上市公司的所有權(quán)和管理權(quán)相對分離的情況下,代理人問題在公司治理上的體現(xiàn)。股東和管理人互相圍繞控制權(quán)的博弈關(guān)系,總的來說是有利于提高公司治理的水平,但需要在證券法和公司法等法律法規(guī)之下進行。相關(guān)各方,包括大小股東、管理人和監(jiān)管機構(gòu),在博弈的過程中,都應(yīng)該以法律法規(guī)為依據(jù)和標準。以體現(xiàn)國家關(guān)于法制化和市場化建設(shè)的指導(dǎo)思想
[Abstract]:The case of control rights of Vanke reflects the relative separation of ownership and management of listed companies, and the representation of agent problems in corporate governance. The game relationship between shareholders and managers around the right of control is generally conducive to improving the level of corporate governance, but it needs to be carried out under the securities law and company law and other laws and regulations. Relevant parties, including large and small shareholders, managers and regulators, should be based on laws and regulations in the course of the game.
