【摘要】：世界兩大法系公司法都經(jīng)歷過早期特許公司這一共同的發(fā)展階段。對早期特許公司的研究，如對特許公司之前的行會、普通合伙以及有限合伙等主要商業(yè)組織，特許公司興起的社會背景及發(fā)展歷程，特許狀之種類、期限、費用及主要內(nèi)容，特許合股公司法人人格、資本與股份轉(zhuǎn)讓、集中管理以及有限責(zé)任的法律發(fā)展等問題，進行深入考察和研討，，將為研究早期特許公司以及探尋現(xiàn)代股份公司的淵源提供極有價值的參考，從而為健全、完善現(xiàn)代股份制企業(yè)制度提供歷史借鑒。
[Abstract]:The two major legal systems of the world have experienced the common stage of development of the early concessionaires. The study of the early concessionaires, such as the major business organizations such as the concessionaire's previous guilds, ordinary partnerships and limited partnerships, the social background and development of the concessionaires, the types, duration, costs and main contents of the franchises, The legal personality, capital and share transfer, centralized management and the legal development of limited liability of a franchise joint stock company have been thoroughly investigated and discussed.
