【摘要】：幾乎所有國(guó)家和地區(qū)都對(duì)證券市場(chǎng)和公司治理中的一致行動(dòng)人進(jìn)行了法律規(guī)制。我國(guó)有關(guān)一致行動(dòng)人的法律規(guī)則已日臻完善,但依然存在效力層次低、缺乏完整性和明確性的缺陷。比較域外相關(guān)法律制度,我國(guó)證券法應(yīng)明確界定上市公司收購(gòu)中一致行動(dòng)人的概念與推定一致行動(dòng)人的范圍,明確一致行動(dòng)人的法定義務(wù)與法律責(zé)任。此外,我國(guó)公司法應(yīng)建立股東投票協(xié)議制度,有限制地承認(rèn)投票協(xié)議的效力。
[Abstract]:Almost all countries and regions have carried on the legal regulation to the stock market and the corporate governance consistent action person. The legal rules of concerted action in our country have been perfected day by day, but they still have the defects of low level of effectiveness and lack of completeness and clarity. Compared with the relevant legal systems outside China, the securities law of our country should clearly define the concept of consistent action person in the acquisition of listed company and the scope of presumed consistent action person, and make clear the legal obligation and legal responsibility of consistent action person. In addition, the company law of our country should establish the system of shareholder voting agreement and recognize the validity of voting agreement.
